UCC 9406 Form Rejection - Missing Secured Party Info
Been dealing with a nightmare situation trying to get our UCC 9406 termination statement filed with the Secretary of State. Keep getting rejections saying "secured party information insufficient" but I've triple-checked everything against our original UCC-1. The debtor name matches exactly, filing number is correct, but something about how we're identifying ourselves as the secured party isn't working. This is for a commercial equipment loan that was paid off last month and we need this termination on record before year-end. Has anyone run into similar issues with UCC 9406 forms being rejected for secured party problems? The original financing statement was filed back in 2020 so I'm wondering if there were some changes in requirements that I'm missing.

UCC 9406 rejections are usually pretty specific about what's wrong. Did the rejection notice give you an exact error code or just the general "insufficient" message? Sometimes the secured party name has to match character-for-character with what was on the original UCC-1, including any LLC designations or corporate suffixes.

I had this exact problem last year! The issue was that our original UCC-1 listed our company as "ABC Lending Corp" but on the UCC 9406 we put "ABC Lending Corporation" - that one word difference was enough for rejection. Check if there are any abbreviation differences between your forms.

Another thing to check - if your company went through any name changes or mergers since the original filing, you might need to file a UCC-3 amendment first to update the secured party information, then file the termination. The system won't accept a termination from a party it doesn't recognize as having authority.
