UCC 1 termination form rejected twice - debtor name formatting issue?

Been trying to file a UCC-1 termination for our equipment loan that was paid off last month and the SOS portal keeps rejecting it. First rejection said "debtor name mismatch" and second one after I corrected it said "invalid termination reference." The original UCC-1 was filed in 2019 for manufacturing equipment and I'm using the exact filing number from our records. Has anyone dealt with termination forms getting rejected even when you think everything matches? I'm worried about the lien staying active when it should be cleared. The loan was through a regional bank and they said they'd handle it but nothing's showing up in the system.

Termination rejections are usually debtor name issues. Are you using the EXACT same name format as the original UCC-1? Like if it was filed as "ABC Manufacturing, Inc." you can't put "ABC Manufacturing Inc" without the comma. Even spacing matters with most SOS systems.

Also check if they used any middle initials or suffix info that might not be obvious. I've seen filings where they included "d/b/a" info that wasn't on the loan docs.

Invalid termination reference usually means the UCC filing number format is wrong or the original filing has already been terminated. Can you search the UCC database to see if the original filing shows as active? Sometimes banks file duplicate terminations.

Yeah definitely search first. I've seen cases where the secured party filed a termination but didn't tell the debtor, then the debtor tries to file another one and gets rejected.

TERMINATION FORMS ARE THE WORST. Sorry for caps but I've been dealing with this exact thing for months. The SOS portal error messages are completely useless and their help desk just tells you to "check the formatting" without being specific about what's wrong.

Right?? Like "debtor name mismatch" could mean literally anything - spacing, punctuation, abbreviations, middle initials, business entity type...

Check if your bank used a different legal entity name when they originally filed. Sometimes they use the borrower's full corporate name including state of incorporation, but the loan documents just show the short version.

That's a good thought. The loan was in our DBA name but the UCC might have been filed under our corporate name.

Exactly - and if they included the state incorporation info like "ABC Manufacturing, Inc., a Delaware corporation" you'd need that exact format for the termination.

might be a dumb question but are you filing the termination as the debtor or secured party? termination can be filed by either but the process is slightly different

Debtor can definitely file the termination, but you need to make sure you're indicating that correctly on the form. Some states have different requirements for debtor-filed vs secured party-filed terminations.
