UCC 3 termination instructions - debtor name format causing rejections

Been trying to file a UCC-3 termination for three weeks now and keep getting rejections from the SOS portal. The original UCC-1 was filed back in 2019 for equipment financing on our manufacturing line, and the loan was paid off in full last month. I've got the original filing number and all the paperwork, but every time I submit the termination it comes back with 'debtor name mismatch' errors. The original filing shows the debtor as 'ABC Manufacturing LLC' but our current business license shows 'ABC Manufacturing, LLC' with the comma. I've tried it both ways and still getting kicked back. This is holding up our equipment sale and the buyer's financing depends on clean UCC records. Anyone dealt with this exact comma situation before? The portal instructions aren't clear about punctuation variations and I'm running out of time here.

Had this exact same issue last year! The SOS systems are super picky about punctuation matching exactly. You need to use the debtor name EXACTLY as it appears on the original UCC-1, even if your business documents have changed format since then. Don't try to 'correct' it to match current records - that's what's causing the rejection.

Yeah I know it's ridiculous but that's how the matching algorithm works. Computers are literal - 'ABC Manufacturing LLC' and 'ABC Manufacturing, LLC' are completely different strings to them.

Check your original UCC-1 filing again really carefully. Sometimes what looks like no comma is actually a comma, or there might be extra spaces you're not seeing. I've seen filings where there was a period instead of a comma, or the LLC was abbreviated differently. Pull up the actual filed document, not just your copy of what you submitted.

Also check for any hidden characters or weird spacing. Sometimes when you copy/paste from PDFs it picks up invisible formatting.

Another thing to watch for - make sure you're using the right UCC-3 form version. Some states updated their forms recently and the old versions get auto-rejected even if everything else is correct. Also double-check that you're selecting 'Termination' and not 'Partial Release' in the action dropdown.

This is exactly why the UCC system drives me crazy. You pay off a loan fair and square but then have to jump through hoops to prove you don't owe money anymore. The whole thing should be automated when the lender reports the loan as satisfied.

Totally agree but that's not how it works unfortunately. Lenders are supposed to file terminations but lots of them don't do it automatically.

Our loan agreement says borrower handles the UCC termination. Pretty common with equipment financing deals.

Try calling the SOS filing office directly. Sometimes they can tell you exactly what's wrong with your submission. I know it's a pain to wait on hold but might be faster than keep getting rejections.

Depends on the state I guess. Some are more helpful than others with UCC questions.

UPDATE: Found the issue! Pulled the official UCC-1 and there's actually TWO spaces between 'ABC' and 'Manufacturing' that I couldn't see in the PDF viewer. No comma at all. Filed the termination with the exact spacing and it went through immediately. Thanks everyone for the help!

Question about timing - how long did it take for your termination to show up in the public records after filing? I'm dealing with a similar equipment sale situation.

It showed as filed immediately but took about 24 hours to appear in the searchable database. Your buyer should be able to see it's been terminated right away though.

Some states are faster than others. Usually same business day if you file in the morning.

Make sure to print the confirmation page right after filing. That's proof the termination went through even if it doesn't show up in searches yet.
