UCC 1 Arizona filing rejected twice - debtor name issues killing my deal
Equipment finance deal falling apart because of UCC-1 rejections in Arizona. Filed twice now and both times got kicked back for debtor name problems. The company is "Southwest Industrial Solutions LLC" on their articles of incorporation but they do business as "SWI Solutions" and that's what's on all the loan docs. Arizona SOS keeps rejecting because the exact legal name doesn't match what's in their database. Deal is supposed to close Friday and I'm running out of time. Anyone dealt with Arizona's name matching requirements? This is a $180K equipment loan and the customer is getting antsy about delays.

Arizona is really strict about exact name matches on UCC-1s. You need to search their database first to see exactly how the debtor name appears in their system. Even spacing and punctuation has to be perfect or they'll reject it.

You need to use the debtor's exact legal name as it appears on their organizational documents filed with Arizona. The DBA name won't work for UCC filings. Check the Arizona Corporation Commission database to verify the precise spelling and format.

For time-sensitive deals like this, I always file a UCC-1 with the exact name from the articles AND immediately file an amendment adding the DBA as an additional debtor name. Covers all bases.

What collateral description are you using? Sometimes Arizona rejects for vague collateral descriptions even when the debtor name is right.
