UCC-1 Arizona filing keeps getting rejected - debtor name issues
Has anyone dealt with Arizona SOS rejecting UCC-1 filings for debtor name inconsistencies? I'm working on a commercial equipment loan and our UCC-1 keeps bouncing back. The debtor is 'Phoenix Manufacturing Solutions LLC' on their charter documents, but they've been doing business as 'Phoenix Mfg Solutions' on some contracts. Arizona's system flagged it as a mismatch and I'm not sure which version to use on the UCC-1. The collateral is manufacturing equipment worth about $180K and we need this perfected ASAP. Anyone know Arizona's exact debtor-name rules? This is holding up the entire loan closing.

Arizona is really strict about debtor names matching exactly what's on the charter. You need to use 'Phoenix Manufacturing Solutions LLC' - the full legal name from their Articles of Incorporation. The DBA stuff doesn't matter for UCC-1 purposes.

ARIZONA IS THE WORST!! Their portal rejects everything for the tiniest reasons. I had one rejected because I put a period after 'LLC' when the charter didn't have one. So frustrating when you're trying to close deals quickly.

Check the exact punctuation too. I've seen Arizona reject for missing commas in corporate names. Also make sure there's no extra spaces - their system is very literal about formatting.

You mentioned they do business as Phoenix Mfg Solutions - are you sure that's not actually their legal name? Sometimes companies file amendments to shorten their names. Might be worth pulling a current certificate of good standing to verify the current legal name.

Are you filing electronically or paper? Electronic filings get the automatic name verification but paper sometimes gets through with minor variations. Though electronic is faster obviously.

One more thing - make sure your secured party information is exactly right too. Arizona will reject for minor errors in the lender name or address as well. Double-check everything against your loan docs.
