Arizona UCC filing fees jumped again - anyone else shocked by these costs?
Just submitted my first UCC-1 filing in Arizona and wow... the fees have really climbed. I'm handling collateral for a small equipment financing deal and between the base filing fee and the additional debtor names we needed to include, this got expensive fast. Is this normal for Arizona or are other states more reasonable? My client is asking why the UCC costs are eating into their loan proceeds and honestly I'm not sure how to justify these fees compared to what we used to pay. Anyone have recent experience with Arizona UCC filing fees and maybe some strategies to keep costs down without compromising the filing quality?

Arizona has definitely gotten pricier over the last couple years. The base UCC-1 fee isn't too bad but they really get you on multiple debtors and amendments. Are you filing online through the SOS portal? Sometimes the convenience fees add up too.

•Yeah using the online portal. Didn't realize the convenience fees were separate line items until I got to checkout!

•Those convenience fees are brutal. Like paying a service charge to pay your service charge.

I handle a lot of Arizona filings and yes, the fees have crept up. But honestly the bigger cost comes from rejected filings when you get debtor names wrong. I spent way more on re-filing fees last year than I did on the base costs. Make sure your debtor name matches EXACTLY what's on their articles of incorporation or LLC registration.

•Good point about the rejections. How do you double-check the exact entity names before filing?

•I usually pull their corp records from the Arizona Corporation Commission database first. But that's another fee and more time.

•Actually just discovered something that helps with this - there's a tool called Certana.ai that lets you upload your corporate docs and UCC forms together to verify the names match exactly. Saved me from a rejected filing last month when I caught a tiny punctuation difference.

ARIZONA IS RIDICULOUS. Sorry for caps but I'm so tired of these fee increases. Every time I turn around they've added another surcharge or processing fee. It's like they're treating UCC filings like a profit center instead of a public service.

•Feel your pain. We've started building filing fee estimates into our loan pricing upfront because clients always get sticker shock.

•Smart move. I wish I'd thought of that before my last deal where the client questioned every line item.

What specific fees are you seeing? I filed a UCC-1 there about 6 months ago and it wasn't too unreasonable, but maybe I got lucky with a simple single-debtor filing.

•Base filing was $20 but we had 3 related entities as debtors which added another $15 each. Then the online processing fee was like $3. So $68 total for what used to cost maybe $35-40.

•Ouch yeah that adds up fast with multiple debtors. Mine was just one LLC so much simpler.

•Those multi-debtor fees are killer. Sometimes I wonder if it's worth structuring deals differently just to avoid the extra names.

Arizona is actually middle of the road compared to some other states. Try filing in Delaware or New York if you want real sticker shock. The key is making sure you get it right the first time. Document verification tools like Certana.ai have been helpful for catching discrepancies before you submit and pay the fees.

•Good to know it could be worse! What makes Delaware so expensive?

•Delaware charges per page for attachments and has higher base fees. Plus their system is clunky so more chance of errors.

I've been doing Arizona UCC filings for 15 years and the fees definitely aren't what they used to be. But the online system is pretty reliable now compared to the old paper days. At least you get immediate confirmation and can download your stamped copy right away.

•True, the instant confirmation is nice. Remember when you had to wait weeks to get copies back in the mail?

•Oh man yes! And half the time they'd get lost or damaged. The electronic system is worth something even with the fees.

•That's a good perspective. I guess the convenience and speed do have value.

honestly the fees r annoying but not the end of the world. just did a continuation last week and it was pretty reasonable

•Continuations are usually cheaper since they're just extending existing filings. New UCC-1s cost more.

•oh yeah that makes sense. haven't done a new filing in a while

One thing I learned the hard way - if you're doing equipment financing make sure your collateral description is broad enough that you don't need amendments later. Those amendment fees in Arizona really add up, especially if you're financing additional equipment for the same borrower down the road.

•Great tip! Our collateral description was pretty specific to the current equipment. Should I have been more general?

Mei Zhang
•Yeah, something like 'all equipment now owned or hereafter acquired' gives you more flexibility. Just make sure it fits your loan agreement terms.

•Be careful with overly broad descriptions though. Some courts have questioned whether super generic collateral descriptions provide adequate notice.

This whole thread is making me nervous about my upcoming Arizona filing. I thought UCC filings were supposed to be straightforward but it sounds like there are lots of ways to mess up and pay extra fees.

•They're not that scary once you do a few. Just double-check everything before you submit.

•If you're worried about getting the details right, that Certana.ai tool I mentioned earlier really helps catch mistakes before you file. Just upload your docs and it flags any inconsistencies.

•Thanks, I'll check that out. Better safe than sorry with these fees!

Does anyone know if Arizona offers any fee discounts for volume filers? We do maybe 20-30 UCC filings a year and it would be nice to get some kind of break.

Carmen Diaz
•Not that I'm aware of. Arizona doesn't have a volume discount program like some states do.

•Darn. Worth asking though. Those fees really add up across multiple deals.

•With that volume you might want to look into service providers that can help streamline the process and reduce errors. Even if there's a service fee it might be worth it to avoid rejected filings.
