UCC form Massachusetts - debtor name keeps getting rejected
I'm dealing with a nightmare situation trying to file a UCC-1 in Massachusetts and the SOS keeps rejecting it for debtor name issues. The business changed its legal name about 8 months ago from "Berkshire Manufacturing LLC" to "Berkshire Advanced Manufacturing LLC" but apparently I'm still getting the name wrong somehow. I've triple-checked the Secretary of State business records and used the exact spelling but it keeps bouncing back. The collateral is industrial equipment worth about $850K so I can't afford to mess this up. Has anyone dealt with Massachusetts UCC form requirements recently? I'm wondering if there's some specific formatting they want or if I need to include the old name somewhere. This is my third attempt and I'm running out of time before the security agreement deadline.

Massachusetts can be really picky about exact debtor names. Did you check if there are any punctuation differences in the Articles of Amendment? Sometimes there are extra commas or periods that don't show up in the basic search results.

Are you using the current legal name or the name on the security agreement? If the security agreement was signed under the old name, you might need to file under "Berkshire Manufacturing LLC" and then do a UCC-3 amendment later.

Check the exact date of the name change vs when you're trying to file. There might be a gap where the old name is still the "correct" name for UCC purposes even though the amendment was filed.

This might sound obvious but did you verify that "Berkshire Advanced Manufacturing LLC" is the EXACT name on the current Certificate of Good Standing? Not just the amendment docs but the current certificate?

Had something similar happen and it turned out the LLC was showing as "Advanced Manufacturing, LLC" with a comma before LLC in one database but not another. These little punctuation differences will kill your filing every time.

Just went through this nightmare myself. Ended up using that Certana thing someone mentioned earlier and it caught that I had "Inc." instead of "Inc" (no period). Worth checking if you're missing something like that.

Whatever you do, don't let this drag on too long. I missed a continuation deadline once because I got stuck in a similar loop of rejections. Set a hard deadline for yourself to get this resolved.

Update: I got the Certificate of Good Standing and found the issue! There was actually a hyphen in "Advanced-Manufacturing" that wasn't showing up in the online search. Filed again with the correct name and it went through immediately. Thanks everyone for the help - especially the suggestion about using Certana to double-check the documents.
