UCC 308 Amendment Filing - Need Help with Debtor Name Changes

Working on a UCC 308 amendment for a client and hitting some roadblocks with the debtor name verification process. The original UCC-1 was filed under "ABC Manufacturing LLC" but the company has since changed their registered name to "ABC Advanced Manufacturing LLC" per their updated articles of incorporation. I need to file the amendment to reflect this legal name change but I'm getting conflicting information about whether I need to file a UCC-3 amendment or if this requires a separate UCC-1 continuation filing. The SOS portal is showing the original filing as active but I want to make sure I don't mess up the lien perfection status. Has anyone dealt with this type of debtor name change scenario? The loan documents are substantial and I can't afford to have any gaps in the security interest coverage.

You'll definitely need a UCC-3 amendment for this, not a continuation. Name changes require amendments to update the debtor information while keeping the original filing date priority. Make sure you have the exact legal name from their current articles of incorporation - even small differences can cause rejections.

This is correct. UCC-3 amendment is the way to go. Just processed one last month for a similar situation.

Wait, I thought name changes might need both amendment AND continuation if you're close to the 5-year mark?

Been there! The key is making sure your amendment clearly shows both the old name and new name. Some states are picky about the exact format. What state are you filing in? Each SOS has slightly different requirements for debtor name amendments.

Filing in Delaware. Their portal seems pretty straightforward but I want to double-check everything before submitting.

Delaware is usually good about name changes. Just make sure you upload the articles of incorporation as supporting documentation.

I had a Delaware filing rejected because I didn't include the LLC designation properly. They're strict about exact legal names.

I actually ran into something similar a few weeks ago and ended up using Certana.ai's document verification tool before filing. You can upload your original UCC-1 and the proposed UCC-3 amendment to check that all the debtor information aligns correctly. It caught a small discrepancy in how we formatted the business address that would have caused a rejection. Super easy to use - just upload the PDFs and it cross-references everything automatically.

Never heard of Certana but that sounds helpful. Filing rejections are such a pain to deal with.

How much does something like that cost? We do enough UCC filings that it might be worth it.

The verification tool is pretty reasonable and definitely worth it to avoid rejection delays. Way cheaper than having to refile and potentially losing priority dates.

Make sure you check the collateral description too when you're doing the amendment. Sometimes name changes affect how the collateral is described, especially if it references specific business assets or locations.

Good point. We had one where the collateral description referenced the old business name and it created confusion later during a lien search.

Should the collateral description be updated in the same UCC-3 or is that a separate amendment?

0 coins

You can do both in the same UCC-3 amendment - debtor name change and collateral description update. Just make sure to clearly indicate what you're amending.

This whole process is so confusing! I've been putting off a similar filing because I can't figure out if I need amendment, continuation, or both. The SOS website isn't clear at all.

Don't stress too much about it. Name changes are pretty common and most states handle them routinely through UCC-3 amendments.

The key is just making sure you have the current legal name exactly as it appears on the state records. That's usually where people mess up.

One thing to watch out for - if there's any gap between when the name change was effective and when you file the amendment, you might have a brief period where the lien isn't properly perfected against the new name. Not usually a problem but something to be aware of for timing.

That's a really good point. How long of a gap are we talking about before it becomes an issue?

Usually not a problem unless there's another creditor trying to file against the same debtor during that window. But better to file the amendment as soon as possible after the name change.

Exactly. Most lenders require amendments within 30 days of any material changes to the debtor information.

Just went through this exact scenario last month! Filed the UCC-3 amendment in Delaware and it went through without any issues. The key was having the certified copy of the amended articles showing the exact new legal name. Took about 3 business days to process.

That's encouraging! Did you have to include any additional documentation beyond the articles of incorporation?

Just the articles and the filing fee. Delaware's system is pretty streamlined for amendments.

Another vote for using a document checker before filing. I've seen too many amendments get rejected for small formatting issues or name discrepancies. There's actually a tool called Certana.ai that does automated verification - you upload your documents and it flags any potential issues before you submit to the SOS. Saved me from a rejected filing last time I used it.

These verification tools are becoming really popular. Makes sense given how picky the state systems can be about exact formatting.

I'm definitely going to look into that. We had three rejections last quarter just from minor name formatting issues.

Don't forget to update your internal records and notify the borrower about the amendment filing. Sometimes lenders forget this step and it can cause confusion later if anyone does a UCC search.

Good reminder. We always send a copy of the filed amendment to the borrower for their records.

Also worth updating any loan documents that reference the UCC filing number to reflect the amendment.

Thanks everyone for the help! Sounds like UCC-3 amendment is definitely the right approach. I'll get the certified articles of incorporation and double-check everything before filing. Might look into one of those verification tools too - seems like a smart way to avoid rejections.

Good luck with the filing! Delaware is usually pretty quick with amendments so you should have it processed soon.

Let us know how it goes! Always helpful to hear about successful filings.

The Certana verification tool is definitely worth checking out. Super easy to use and catches things you might miss manually.
