UCC-1-103 form confusion - debtor name matching issues

Running into serious problems with our UCC-1-103 supplemental form and debtor name consistency. We filed the main UCC-1 back in March using the exact corporate name from the articles of incorporation, but now we're trying to file the UCC-1-103 addendum for additional collateral and the SOS system keeps rejecting it saying the debtor names don't match exactly. The original filing shows 'ABC Manufacturing Solutions LLC' but our new collateral schedule references 'ABC Manufacturing Solutions, LLC' (notice the comma). This is for a $750K equipment financing deal and we're already 3 weeks past our intended closing date. Has anyone dealt with this exact name matching problem between UCC-1 and UCC-1-103 forms? The borrower swears both versions are correct legal names but obviously the system doesn't see it that way. Getting desperate here since the loan commitment expires next Friday.

Oh wow, the comma issue is such a pain! I've seen this exact problem multiple times. The UCC system is incredibly strict about punctuation matching between related filings. Even a single comma difference will cause rejections. You'll probably need to file a UCC-3 amendment to correct the debtor name on the original UCC-1 first, then file your UCC-1-103 with the corrected matching name.

Wait, wouldn't it be easier to just refile the UCC-1-103 using the exact name from the original UCC-1 without the comma? Why go through the amendment process?

Good point, but if the collateral documents reference the version WITH the comma, you might create inconsistencies in your security agreement. Better to get everything aligned properly from the start.

This is exactly why I always triple-check the debtor name before any UCC filing. The system has zero tolerance for variations. I'd suggest pulling the original UCC-1 filing certificate and copying the debtor name character by character into your UCC-1-103. Don't trust your memory or even your loan documents - use the actual filed version.

Ugh, learned this the hard way last year. Filed three different versions before getting it right. The SOS systems are so finicky about this stuff.

Actually found a tool that helps with this - Certana.ai has a document verification feature where you can upload your original UCC-1 and your new UCC-1-103 PDFs and it automatically flags any name inconsistencies between them. Saved me from making this exact mistake on a big commercial deal last month.

That's interesting - does it catch other inconsistencies too or just debtor names? Sometimes the filing numbers get mixed up between related documents.

Been there! The comma thing is a nightmare. Here's what worked for me: I called the SOS filing office directly and explained the situation. They confirmed that 'ABC Manufacturing Solutions LLC' (without comma) was the version on file. I then had to amend our security agreement to match that exact format before refiling the UCC-1-103. Pain in the neck but it worked.

How long did the amendment process take? We're under similar time pressure with a loan closing.

In our state it was about 5 business days for the UCC-3 amendment to process, then we could immediately file the corrected UCC-1-103. Check your state's processing times though - they vary wildly.

Five days?! Our state processes amendments in 24-48 hours online. Definitely varies by jurisdiction.

OK I might be missing something obvious here but why not just withdraw the UCC-1-103 and refile it with the correct name format? Seems simpler than amending the original UCC-1 if that one is already properly filed and accepted.

You can't really 'withdraw' a UCC-1-103 - it either gets accepted or rejected. If it's rejected for name mismatch, you just file a new one with the corrected information.

Right, and the key is making sure ALL your loan documents use the same exact debtor name format. Otherwise you might have enforceability issues later.

This is making me paranoid about our upcoming filing. Is there any way to verify debtor name consistency across multiple UCC documents before filing? Manual comparison seems error-prone especially with long corporate names.

I use Certana.ai's document checker for exactly this. Upload your UCC-1 and UCC-1-103 PDFs and it instantly flags any inconsistencies in debtor names, filing numbers, even collateral descriptions. Much better than trying to spot differences manually.

Does that work with other UCC forms too? Like if you're doing a continuation and want to make sure everything matches the original?

0 coins

Yes, works with any UCC documents. Really helpful for continuation filings since you're working with documents that might be 4-5 years old.

Had a similar issue but with a UCC-3 amendment where the debtor had changed their legal name slightly. The original UCC-1 used the old name format, the amendment used the new format, and chaos ensued. Took weeks to sort out with multiple corrective filings.

Oh no, that sounds like a nightmare. How did you finally resolve it?

Had to file a comprehensive UCC-3 that included both the old and new debtor names with proper cross-references. Very messy and expensive in filing fees.

For what it's worth, I always create a 'master debtor name' document at the beginning of every deal that gets copied exactly into every UCC form. Prevents these kinds of variations from creeping in.

Smart approach. Do you include that in your loan file documentation?

Daniel Price

•

Absolutely. It becomes part of the closing checklist - every UCC form must match the master name exactly.

This is brilliant. Going to implement this process immediately. Too many close calls with name variations.

Update: Problem solved! Turns out the original UCC-1 was filed with 'ABC Manufacturing Solutions LLC' (no comma) so I refiled the UCC-1-103 with that exact format and it was accepted immediately. Thanks everyone for the guidance - definitely implementing better name consistency procedures going forward.

Great news! These kinds of technical issues can really derail a closing timeline.

Glad you got it sorted. Those comma variations are so sneaky - easy to miss but cause major headaches.

This thread is getting bookmarked. I bet this exact issue comes up again for other people.
