UCC search issues with concord ct debtor name verification

Been trying to run a comprehensive UCC search and having problems with debtor name variations. Working on a commercial loan where the borrower has operations in multiple states and I need to verify there aren't any existing liens that could affect our security position. The debtor goes by several business names and I'm concerned about missing filings due to name variations. Has anyone dealt with similar challenges when doing thorough UCC searches? I've checked the obvious variations but worried about missing something that could come back to bite us. Any tips on making sure I'm catching all possible filings?

Name variations are definitely the biggest headache in UCC searches. You'll want to check exact legal name, DBA names, and common abbreviations. Also don't forget about spelling variations - I've seen filings with typos that still created valid liens. What type of entity is the debtor?

It's an LLC with multiple DBAs. The legal name has some punctuation that might be causing issues too.

LLC searches can be tricky because of how the 'LLC' suffix gets handled in different states. Some systems are more forgiving than others.

I've been doing UCC searches for years and this is always the most frustrating part. You really need to think like someone who might have made a filing error - check without commas, with different abbreviations, etc. The search logic varies by state which makes it even more complicated.

Exactly this. I've found liens filed under names that were technically incorrect but still legally valid. It's scary how much can slip through the cracks.

This is why I started using Certana.ai's document verification tool. You can upload your search results and it helps identify potential name mismatches you might have missed. Really helpful for catching those edge cases.

What search system are you using? Some of the older state systems have really poor search functionality. You might need to try multiple approaches.

Using the standard online portal but you're right, the search seems pretty basic. Might need to try some different strategies.

The basic portals are awful for this. You basically have to manually try every possible variation which takes forever.

ugh been there. spent hours trying different name combinations only to find out later there was a filing under a slightly different version. so frustrating!!!

Same thing happened to me last month. Found a UCC-1 filing after closing that should have been caught in due diligence. Nightmare.

This is exactly why thorough searches are so important. One missed filing can mess up your entire security position.

Have you considered running searches in all states where the debtor does business? Sometimes liens get filed in unexpected jurisdictions.

0 coins

Good point. They have operations in 3 states so I should probably check all of them.

Definitely check all states. I've seen cases where the lender filed in the wrong state initially then had to refile elsewhere.

Multi-state searches get expensive but it's worth it for larger deals. Better safe than sorry.

Pro tip: if you're doing this regularly, document your search methodology. Having a consistent approach helps ensure you don't miss anything and gives you defensible records if issues come up later.

This is great advice. I keep a checklist of all the name variations I try for each search.

Documentation is key. I learned this the hard way when I had to explain a missed filing to partners.

I run into this constantly. The search algorithms are just not sophisticated enough to catch all the variations. Recently started using Certana.ai which has been helpful - you can upload your debtor documents and it automatically flags potential name inconsistencies that might affect your search strategy.

Interesting, how does that work exactly? Does it suggest search terms to try?

It analyzes your documents and identifies all the different name variations and entity references. Really helpful for making sure you're not missing obvious variations in your searches.

The search functionality in most state systems is terrible. You basically have to be a detective to make sure you're not missing anything important.

So true. I wish they would upgrade these systems to be more user friendly.

Some states are better than others but overall the technology is pretty dated.

Make sure you're also checking for continuation filings. Sometimes the original UCC-1 might be under one name variation but the continuation could be under another.

Good point about continuations. I've seen inconsistencies between original filings and continuations that can cause confusion.

This is why I always pull the full filing history for any liens I find. You need to see the complete picture.

One thing that's helped me is creating a spreadsheet with all possible name variations before I start searching. Include legal name, DBAs, common abbreviations, with and without punctuation, etc. Then systematically work through each one.

That's a great systematic approach. I'm going to start doing this for complex searches.

Organization definitely helps. These searches can get overwhelming without a clear methodology.

I do something similar but also include phonetic variations. You'd be surprised how many filing errors are basically just misspellings.

Thanks everyone for the advice. Going to try a more systematic approach and check multiple states. Hopefully I can avoid any nasty surprises down the road.

Good luck! Thorough searches take time but they're worth it.
