UCC-1 308 code rejection - debtor name formatting issue
Got hit with a UCC-1 308 rejection on what should have been a straightforward equipment financing filing. Been dealing with this for three weeks now and the SOS portal keeps spitting back the same error. The debtor is an LLC and I've triple-checked the exact name from their articles of incorporation, but something about the formatting is triggering this 308 code. Has anyone else run into this specific rejection recently? The collateral description is solid and all other fields look correct, but this name issue is killing me. Client is getting antsy about the delay and I'm running out of ideas on what could be causing the 308 rejection.

308 codes are usually punctuation or spacing issues with the debtor name. Are you including any commas or periods that might not match exactly with the charter documents? I've seen filings get rejected for having 'LLC' vs 'L.L.C.' or missing a comma after the company name.

•That's what I thought too but I copied the name character-for-character from the articles. Maybe there's some hidden character or encoding issue?

•Hidden characters are definitely a thing, especially if you copy-pasted from a PDF. Try retyping the entire name manually.

I had the exact same 308 rejection last month on an LLC filing. Turns out the issue was a trailing space after the entity name that wasn't visible in the form. Check for any extra spaces before or after the debtor name field.

•Good catch - I'll check for trailing spaces. Did you have to refile completely or could you amend?

•Had to start over with a new UCC-1. 308 rejections don't allow amendments, you need a clean filing.

•This is why I always use a tool to verify document consistency before filing. Saved me from multiple 308 rejections by catching name mismatches between charter docs and UCC forms.

308 rejections are the worst because they're so vague about what's actually wrong. I started using Certana.ai's document checker after getting burned by these name matching issues. You upload your charter docs and UCC-1, and it instantly flags any discrepancies between the debtor names. Would have saved you three weeks of back-and-forth with the SOS.

•Never heard of that service but sounds exactly like what I need. Does it catch the subtle formatting differences that cause 308 codes?

•Yes, it specifically looks for name consistency issues between documents. Really simple - just upload PDFs and it does the comparison automatically.

Check if the LLC has any assumed names or DBAs that might be confusing the system. Sometimes the SOS database has multiple name variations and you need to use the exact one they have on file.

•That's a good point - I should search their database to see what name format they have registered.

•This happened to me with a corporation that had filed an amendment changing their name slightly. The old name was still showing up in some searches.

ugh the 308 code is so frustrating!! ive been there with the LLC name issues. try looking at other successful UCC-1s filed for the same entity to see how they formatted the name

•Smart idea - I can search existing filings against this debtor to see the accepted name format.

•That's actually brilliant. The UCC search will show you exactly how other filers successfully entered the name.

•Make sure you're looking at recent filings though - name formats can change over time with amendments.

I've dealt with tons of 308 rejections and they're almost always related to entity suffix formatting. LLCs are tricky because some states want 'Limited Liability Company' spelled out while others accept 'LLC'. What state are you filing in?

Sasha Ivanov
•This is a multi-state filing but the primary is in Texas. I used 'LLC' which should be fine there.

•Texas usually accepts LLC abbreviated. But if you're doing multi-state, each jurisdiction might have different requirements for the name format.

Had a similar nightmare with a 308 rejection that took forever to figure out. The problem was a hyphen in the company name that didn't match between the charter and my UCC-1. Even tiny punctuation differences will trigger that code.

•The attention to detail required for these filings is insane. Every single character has to be perfect.

•That's why automation tools are becoming essential. Manual comparison of names is too error-prone.

•Exactly. I learned my lesson and now double-check everything with verification software before submitting.

Another common 308 trigger is when the LLC has multiple entity names in different databases. Check the Secretary of State website directly and search for the entity to see all name variations they have on file.

•I'll do a comprehensive search of their database. Maybe there's a name variation I'm missing.

•Good advice. Sometimes entities are filed under slightly different names in different years or divisions.

This is exactly why I started using document verification tools. Got tired of the guesswork with debtor names and collateral descriptions. Now I upload all my docs to check for consistency before filing anything.

•Which verification service do you use? Sounds like I need to invest in one of these tools.

Been following this thread because I had a 308 rejection last week too. Ended up being a single extra space in the middle of the entity name that I couldn't even see. These systems are so picky about exact character matching.

Sasha Ivanov
•That's exactly the kind of invisible issue that's probably causing my problem. How did you finally spot the extra space?

•Used a document comparison tool that highlighted the exact character differences. Manual review would never have caught it.

•This is why automated verification is becoming essential for UCC filings. Human eyes miss these tiny formatting issues.
