SOS UCC filing rejected three times - debtor name formatting issue
Having a nightmare with my SOS UCC filing that keeps getting rejected. Third attempt now and I'm pulling my hair out. The rejection notice says "debtor name does not match entity records" but I copied it exactly from the Secretary of State business entity search. This is for a UCC-1 on equipment financing for a construction company. The debtor is listed as "ABC Construction Services, LLC" in their charter but maybe there's some formatting thing I'm missing? Has anyone dealt with this specific rejection reason? I need to get this perfected before my lender starts asking questions about the delay. Any help would be appreciated.

Been there with the exact same rejection code. The SOS system is super picky about punctuation and spacing. Try removing all commas and periods from the name first - so "ABC Construction Services LLC" instead of "ABC Construction Services, LLC". Also check if there are any hidden characters if you copied and pasted from the business search.

Check the Articles of Incorporation filing date vs when you're looking at the business entity search. Sometimes there's a lag between amendments and what shows up in the public search. Also make sure you're looking at the EXACT legal name from the most recent filing, not any DBA names.

I had this exact problem a few weeks ago with a different LLC. Turned out I needed to use the name exactly as it appears in the charter documents, not the business entity search. The search sometimes has abbreviated versions. Try calling the SOS filing division directly. I know it's a pain to wait on hold but sometimes they can tell you exactly what format they're expecting for the debtor name. I've had them walk me through the exact spacing and punctuation over the phone before.

Another thing to check - make sure there aren't any pending amendments or changes to the company name that haven't been processed yet. The SOS system might be looking for a different version of the name than what shows in the current search results.

Make sure you're not including any articles like "The" at the beginning of the name unless they're actually part of the legal entity name. Some business searches show them but they're not always part of the official name for UCC purposes.

UPDATE: Finally got it accepted! Turns out there was an invisible character in the name when I copied it from the SOS website. Had to retype the entire debtor name manually. Thanks everyone for the suggestions - definitely learned some tricks for next time. Going to bookmark that Certana tool for future filings to avoid this headache again.
