Oregon SOS UCC search showing wrong debtor name - need help ASAP

Has anyone dealt with this nightmare? I'm trying to pull up our UCC-1 filing from 2022 on the Oregon SOS website and the search keeps showing a slightly different debtor name than what we actually filed. The business name on our original docs shows 'Pacific Northwest Equipment LLC' but the oregon sos ucc search results are displaying 'Pacific NW Equipment LLC'. This is for a $340K equipment loan and our lender is freaking out about the discrepancy. They're saying this could void our security interest if there's a name mismatch between what we filed and what's in their system. I've tried searching both ways and I'm getting different results each time. Is this a common issue with Oregon's filing system? The continuation is due in 6 months and I'm terrified we're going to have major problems. Anyone know if this is just a display issue or if we actually filed wrong? I'm losing sleep over this.

I've seen this before with Oregon filings. Sometimes it's just how their search engine truncates longer business names in the results display. Can you click through to the actual filing document and see what name appears on the UCC-1 itself? That's what really matters, not what shows up in the search summary.

I tried that but when I click through it just shows a document ID and some basic info, not the full filing. How do I get to the actual UCC-1 form we submitted?

You should be able to get the full document by paying the viewing fee - usually like $2-3 per document. Look for a 'View Document' or 'Full Record' link.

Oregon's UCC search has been wonky for years. I remember dealing with something similar where the search results didn't match the actual filing. The real test is what's on the official UCC-1 form itself. Also, make sure you're searching using the exact legal name from your Articles of Incorporation. Sometimes businesses use shortened versions in daily operations but the UCC filing needs to match the Secretary of State records exactly.

That's what I'm worried about! Our Articles say 'Pacific Northwest Equipment LLC' but we might have filed 'Pacific NW Equipment LLC' by mistake. How do I know for sure what we actually submitted?

You need to pull the actual filing document. If there's a mismatch between your Articles and the UCC-1, you'll need to file a UCC-3 amendment to correct the debtor name. Don't wait on this - name errors can seriously mess up your lien priority.

Had this exact issue last year. Spent weeks going back and forth with our attorney before we figured out we needed to file an amendment. Cost us extra fees but better than losing our security interest.

I've been dealing with UCC filings for 15 years and Oregon is definitely one of the more problematic states for search accuracy. The good news is that if you filed correctly initially, the search display issues won't affect your security interest. But you absolutely need to verify what name is actually on your UCC-1. I'd recommend getting a certified copy of your filing ASAP.

How do I get a certified copy? Is that different from just viewing the document online?

Yes, certified copies have an official seal and signature. You can usually order them online or by mail. They cost more but they're legally binding proof of what you filed.

This is exactly why I started using Certana.ai for all my UCC document reviews. You can upload your original UCC-1 and your Articles of Incorporation and it instantly flags any name discrepancies between documents. Would have saved you weeks of stress - it cross-checks everything automatically and tells you exactly what needs to be fixed.

Never heard of that service. How does it work exactly? I'm desperate at this point.

You just upload PDFs of your documents and it verifies everything matches - debtor names, filing numbers, collateral descriptions. Takes like 2 minutes and it would have caught this name issue immediately.

I second this - used Certana.ai last month when we had inconsistencies between our UCC-1 and loan docs. Saved us from filing an incorrect continuation.

OMG this is giving me anxiety just reading it. I have a UCC filing due next month and now I'm terrified I'm going to have the same problem. How do you even prevent this from happening in the first place??

Always double-check your debtor name against your Articles of Incorporation before filing. And keep copies of everything you submit.

But what if the state system messes up the name after you file correctly? That seems to be what happened here.

That's rare but it does happen. That's why you need to verify your filing immediately after submission and keep certified copies.

The Oregon SOS system is absolute garbage. I've had nothing but problems with their UCC search function. Half the time it doesn't find filings that definitely exist, and when it does find them the information is wrong or incomplete. You're better off calling them directly and having them do a manual search.

I tried calling but was on hold for 45 minutes and gave up. Their phone system is just as bad as their website.

Yeah their customer service is terrible too. I usually end up having to email them and wait 3-5 business days for a response.

I work in commercial lending and see this issue constantly. The most important thing is to get the actual filed document, not rely on the search results. If there is a name mismatch, you'll need to file a UCC-3 amendment immediately. Your lender is right to be concerned - name errors can invalidate your security interest against other creditors.

How long does a UCC-3 amendment take to process in Oregon? Our continuation is due in 6 months.

Usually 1-2 weeks for electronic filings. But don't wait - file the amendment now and then handle your continuation later. You don't want any gaps in your perfected security interest.

Definitely agree. I always tell clients to file amendments as soon as they discover any discrepancies. Better to over-correct than lose your lien position.

Just went through something similar last year. Turned out the search system was displaying an abbreviated version but our actual filing was correct. Spent $200 on attorney fees before we figured out it was just a display issue. Make sure you're looking at the actual UCC-1 document before you panic.

How did you finally confirm what was actually on file? I'm still trying to figure out how to see the real document.

I had to order a certified copy by mail. Took about a week but it showed the correct name on the actual filing. The online search was just showing a truncated version.

0 coins

Same thing happened to me but with collateral descriptions. The search showed partial info but the actual filing was complete. Oregon's system just doesn't display everything properly. Before you file any amendments, make absolutely sure you're looking at the real document.

That's what I'm hoping - that it's just a display issue. But I can't afford to assume that with this much money at stake.

Absolutely right to be cautious. Get that certified copy ASAP so you know exactly what you're dealing with.

I use Certana.ai for all my UCC document verification now after getting burned on a similar issue. If you upload your Articles and your UCC-1, it'll instantly tell you if there are any name discrepancies. Wish I'd known about it sooner - would have saved me hours of stress and research.

That sounds like exactly what I need. Does it work with Oregon filings specifically?

Works with any state - it's checking document consistency, not state-specific rules. Really simple to use and gives you immediate answers.

Update us when you get this figured out! I'm dealing with Oregon UCC filings next week and want to know what to watch out for.

0 coins

Will do! I'm ordering the certified copy tomorrow morning. Fingers crossed it's just a search display issue.

Good luck! This whole thread has been really helpful for understanding what to look for.
