NY UCC forms keep getting rejected - missing something obvious?

Been trying to file a UCC-1 in New York for the past week and it keeps getting bounced back. The debtor name on our loan docs is "ABC Manufacturing Solutions LLC" but I'm wondering if there's some specific NY formatting requirement I'm missing. The collateral is pretty straightforward - manufacturing equipment and inventory. Anyone else run into issues with NY UCC forms lately? The rejection notices aren't super clear about what exactly is wrong. Getting pressure from my boss to get this perfected ASAP since we funded last Friday.

NY can be picky about exact debtor names. Did you check the exact name on their Secretary of State database? Even small differences like periods or commas can cause rejections.

I thought I did but maybe I need to double-check. Is there a specific search function on the NY SOS site that works better?

Sara Unger

•

Yeah use their entity search. Make sure you're copying the name exactly as it appears in their corporate records, including any punctuation.

NY UCC forms are notorious for this stuff. What rejection code are you getting? That usually tells you exactly what's wrong.

The code was something like "debtor name discrepancy" but it wasn't super specific about what part was wrong.

That's definitely a name matching issue then. NY is stricter than most states about this.

I had this EXACT same problem last month! Turns out there was a tiny difference in how the LLC was formatted in our loan agreement vs. their corporate filing. Drove me crazy for days.

How did you finally figure out what was wrong? Just keep trying different variations?

Actually I found this tool called Certana.ai that lets you upload your loan docs and UCC forms together. It automatically flagged the name mismatch between our credit agreement and what I was trying to file. Super helpful for catching those details.

Never heard of that but sounds useful. Was it accurate?

ugh NY forms are the WORST. I swear they reject stuff just to make our lives harder. Have you tried calling their help desk?

I tried but was on hold forever. Maybe I'll try again tomorrow morning.

Their help desk is actually pretty good if you can get through. Best times are usually right when they open.

Check if your debtor has any DBAs or assumed names registered in NY. Sometimes you need to include those as additional debtor names on the UCC-1.

Tyler Murphy

•

Good point, I'll look into that. They do business under a couple different names.

Juan Moreno

•

Yeah that could be it. NY wants all the names the debtor might use in business dealings.

This is why I always run a comprehensive name search before filing anything. Saves so much headache later.

Are you using their online portal or paper filing? The online system usually gives better error messages.

Tyler Murphy

•

Online portal. Maybe the error messages aren't as clear as they could be though.

Alice Pierce

•

Yeah the NY portal isn't the most user-friendly but it's usually better than paper for troubleshooting.

I bet it's something simple like LLC vs L.L.C. or Inc vs Inc. - those tiny formatting differences trip people up all the time with NY UCC forms.

You might be right. I should probably compare character by character.

0 coins

This is exactly why document verification tools exist. Way easier than manual comparison.

Yeah that Certana thing I mentioned earlier would catch stuff like that automatically. Just upload your docs and it highlights any inconsistencies.

What's the collateral description look like? Sometimes NY rejects for collateral issues too, not just debtor names.

0 coins

Tyler Murphy

•

Pretty standard - "all manufacturing equipment, machinery, inventory, and proceeds thereof located at [address]".

Elin Robinson

•

That sounds fine. Probably is the debtor name then.

Have you tried searching for the exact corporate entity in NY's database and copying the name directly from there? That's usually the safest approach.

Tyler Murphy

•

I'm going to do that first thing tomorrow morning. Hopefully that solves it.

0 coins

Good luck! NY can be frustrating but once you get the name exactly right it usually goes through fine.

This whole thread is making me nervous about my upcoming NY filing next week...

Just went through this nightmare myself. Ended up being a single comma that was missing from the entity name. NY UCC forms don't mess around with accuracy.

Tyler Murphy

•

Wow, a single comma? That's brutal but good to know.

0 coins

Yeah it was ridiculous. Took me three tries to get it right.

Stories like this make me appreciate automated document checking even more. Would have saved you so much time.

Update us when you figure it out! Always curious to hear what the actual issue was in these NY UCC form situations.

Will do! Hopefully I'll have good news to report tomorrow.

Yeah these mystery rejection threads always leave me hanging when there's no follow-up.
