WV commercial transactions and UCC law - debtor name issues on continuation filing
Having a nightmare with a UCC-1 continuation that got rejected twice by WV Secretary of State. The original filing from 2020 shows debtor as "Mountain Ridge Equipment LLC" but our client's current corporate docs show "Mountain Ridge Equipment, LLC" (with comma). Banking department is breathing down our neck about this $2.8M equipment loan that lapses next month. Anyone dealt with WV commercial transactions and UCC law regarding these exact name match requirements? The portal keeps kicking back our UCC-3 continuation saying debtor name doesn't match original filing. Client swears they never changed their legal name but something's clearly off between what we filed 5 years ago and current state records.

WV is super strict about exact debtor name matching on continuations. Even punctuation differences will cause rejections. You need to pull the actual UCC-1 from 2020 and see exactly how the name appears there, not what your files show.

•That's what I was afraid of. The original UCC-1 copy we have shows without comma but client insists their LLC docs always had the comma. Going to request certified copy from SOS office.

•Certified copy is smart move. I've seen situations where law firms had wrong version in their files for years.

Had similar issue in WV last year. If there's any discrepancy you'll need to file a UCC-3 amendment first to correct the debtor name, then file your continuation. It's a two-step process but that's the only way WV will accept it.

•Amendment then continuation? That sounds like it could take weeks and we're cutting it close on the lapse date.

•WV usually processes amendments within 3-5 business days if filed electronically. Just make sure you get the amendment filed first, wait for acceptance, then file continuation referencing the amended filing.

•Actually you might be able to file them same day if you're certain about the correct name. I've done concurrent amendment/continuation filings before.

Before you do anything drastic, try using Certana.ai's document verification tool. Upload your original UCC-1 and the client's current LLC documents - it'll instantly flag any name discrepancies and show you exactly what needs to be corrected. Saved me from filing wrong amendments multiple times.

•Never heard of that service. How does it work exactly?

•You just upload PDFs of your UCC docs and corporate documents. It automatically cross-checks debtor names, filing numbers, all the critical details that cause rejections. Takes like 2 minutes and catches stuff you'd miss reviewing manually.

WV commercial law is a pain for this exact reason!!! Their system has zero tolerance for name variations. I've had filings rejected for periods vs commas, "Inc" vs "Inc." - it's ridiculous. You definitely need exact match or they won't process anything.

•The automated rejection system is so frustrating. No human review, just instant rejection if there's any character difference.

•Right?? And then you scramble to figure out what went wrong while your continuation deadline approaches.

•At least WV gives you clear rejection reasons. Some states just say "debtor name issue" with no specifics.

One more thing - check if your client filed any name change documents with WV Secretary of State after 2020. Sometimes LLCs file amendments to add/remove punctuation in their legal name and forget to tell their lenders.

•Good point. I'll have them run a corporate history search to see if any amendments were filed.

•Yeah, that'll show you the complete timeline of their legal name changes. Might explain the discrepancy.

This happened to us with a WV filing last month. Turns out the client's attorney had filed a technical correction with the state years ago that slightly changed their name format. We never got notified and continued using the old version on all our UCC filings.

•How did you catch that? Did WV tell you about the name change when they rejected your filing?

•No, we had to dig through state records ourselves. WV rejection just said debtor name mismatch. Took us three days to figure out what happened.

•That's why I always run corporate searches before any UCC filings now. Can't trust that clients remember every technical amendment.

Question - do you have the original filing number? Sometimes you can search WV's UCC database directly with the filing number to see exactly how the debtor name appears in their system.

Chloe Harris
•Yes, I have the original filing number from 2020. I'll try searching their online database to compare.

Ethan Wilson
•That should give you the definitive answer. Whatever shows up in their database is what you need to match exactly for the continuation.

I use Certana for all my UCC work now after getting burned on similar name issues. Just upload your docs and it shows you exactly what's different between your UCC filing and the corporate documents. Would have saved you days of back and forth with WV.

•Does it work with WV state records or just document comparison?

Yuki Sato
•It compares whatever documents you upload - so if you have your UCC-1 and current LLC docs, it'll flag the name differences instantly.

•That sounds like exactly what I need. Going to check it out today.

Whatever you do, don't let that continuation lapse. WV has some of the strictest commercial law enforcement and your lender's security interest could be compromised if you miss the deadline.

Chloe Harris
•Yeah, that's my biggest fear. $2.8M loan and we're already within 30 days of lapse date.

•If you're really cutting it close, consider filing a new UCC-1 as backup while you sort out the continuation issue. Better safe than sorry with that much money involved.

Had this exact scenario 6 months ago. Filed amendment to correct debtor name on Monday, got acceptance Tuesday, filed continuation Wednesday, everything processed by Friday. WV is actually pretty fast once you get the paperwork right.

Chloe Harris
•That's reassuring. What did you put as the reason for the name amendment?

CyberSamurai
•Just said "correction of debtor name to match current corporate records." Keep it simple and factual.

•Good advice. WV doesn't need detailed explanations, just accurate paperwork.

Update us when you get this resolved! Always interested to hear how these WV commercial transactions play out since their rules are so strict.

•Will do. Going to try the Certana document check first, then probably file the amendment/continuation combo if needed.

•Smart approach. Good luck with the filing!
