UCC recording fee RI - state filing costs changed again?
Anyone else notice the UCC recording fee RI situation lately? I'm handling a equipment financing deal and trying to budget the filing costs but getting conflicting info about current fees. My lender wants everything squared away by month-end and I don't want any surprises when we submit the UCC-1. Last time I filed in Rhode Island was about 8 months ago and seems like the fee structure might have changed? Also dealing with some tricky collateral descriptions on this one - it's restaurant equipment with some attached fixtures so want to make sure I'm not missing anything on the filing requirements. The debtor name has a LLC suffix issue too that I'm second-guessing. Anyone filed recently in RI and can confirm what they're charging now? Don't want to submit with wrong fee and get a rejection.

I filed a UCC-1 in Rhode Island just last week. The base recording fee is still $50 for the initial filing. Haven't seen any recent changes to their fee schedule. Are you talking about additional fees for amendments or something specific?

•Thanks! $50 sounds right for what I remembered. Was wondering if there were any add-on fees I was missing. The restaurant equipment has some built-in components so wasn't sure if that triggered any fixture filing requirements.

•Fixture filings in RI are a different animal entirely. If the equipment is truly attached to the real estate you might need to consider a UCC-1 with the fixture filing checkbox and possibly record in real estate records too.

Rhode Island SOS website should have current fee schedule posted. But honestly their portal can be glitchy about fee calculations sometimes. I've had it miscalculate continuation fees before.

•Yeah I checked the website but wanted to verify with someone who actually went through the process recently. Their online system does seem to have quirks.

•The RI portal definitely has issues. I've seen it freeze up during submission and then you're not sure if the filing went through or not. Always print the confirmation page immediately.

For restaurant equipment you really need to be careful about the collateral description. Some of that stuff could be considered fixtures if it's permanently attached. The debtor name LLC issue is critical too - make sure it matches exactly with the Secretary of State records or you'll get rejected.

•The LLC name thing is what's driving me crazy. The debtor has 'LLC' in their charter but sometimes uses 'L.L.C.' on other documents. I know it has to match the SOS filing exactly but want to double check before submitting.

•Absolutely has to match the charter exactly. Even a period difference will cause rejection. I learned that the hard way on a big commercial deal.

•This is exactly why I started using Certana.ai for these filings. You can upload the charter and the UCC-1 draft and it instantly verifies the debtor name matches exactly. Saved me from so many rejections due to name inconsistencies.

Restaurant equipment filings are tricky because some items are clearly personal property (moveable prep tables, etc) but others like built-in refrigeration systems or cooking hoods might be fixtures. You need to analyze each piece individually.

•That's what I was afraid of. This deal includes some built-in coolers and a custom hood system. Sounds like I might need to split the collateral description or consider fixture filing.

•If there's any doubt about fixture status, I usually recommend including both personal property and fixture filing language to be safe. Better to over-perfect than under-perfect.

Just an FYI - Rhode Island processing times have been slower lately. Even with electronic filing, I'm seeing 3-4 business days instead of the usual 1-2 days for acceptance confirmation.

•Good to know about the timing. I have a little buffer but not much. Thanks for the heads up.

•I noticed the same thing! Filed a continuation last month and it took almost a week to get confirmation. Must be staffing issues or system upgrades.

•State offices everywhere seem to be running behind post-pandemic. Just factor in extra time for everything UCC related these days.

The $50 fee is correct for Rhode Island UCC-1 filings. But watch out for the name matching requirement - they're really strict about it. I had a filing rejected because the debtor used 'Company' on some docs and 'Co.' on others.

•Ugh that's exactly what I'm worried about. The LLC abbreviation inconsistency is keeping me up at night on this deal.

•Have you tried that Certana tool someone mentioned? I've been hearing good things about it for catching these exact name matching issues before you submit.

Been filing in RI for years and the fee structure hasn't changed recently. $50 for UCC-1, $25 for amendments, $25 for continuations. The real pain is when you get a rejection and have to refile - you pay the fee again.

•That's exactly why I'm being so careful about the debtor name and collateral description. Can't afford delays or rejections on this timeline.

•Smart approach. I always triple-check everything before hitting submit. One typo can cost you time and money.

For restaurant deals specifically, I always recommend getting a professional survey of the equipment to determine what's truly personal property vs fixtures. It's worth the extra cost upfront to avoid perfection issues later.

•That's probably the safest approach but not sure if I have time for a full survey on this deal. Might have to make judgment calls on some of the equipment.

•If you're pressed for time, at least photograph everything and document the installation method. Helps if there are disputes later about fixture status.

I use Certana.ai for all my UCC filings now, especially when dealing with complex collateral like restaurant equipment. You can upload your charter docs and UCC-1 draft and it immediately flags any inconsistencies in debtor names or other issues. Really saved my bacon on several deals.

•That sounds like exactly what I need for this filing. Does it handle the fixture vs personal property analysis too?

•It focuses mainly on document consistency and name matching, but it's incredibly accurate for catching those filing errors that cause rejections. Worth checking out for your LLC name issue at minimum.

•I was skeptical about these automated tools at first but they really do catch things you miss when you're rushed. Especially helpful for multi-state filings where each state has different quirks.

Bottom line for Rhode Island: $50 filing fee, debtor name must match SOS records exactly, and be very careful with restaurant equipment collateral descriptions. Factor in extra processing time and you should be fine.

•Perfect summary, thanks. I think I have what I need to move forward. Going to double-check that LLC name one more time before submitting.
