UCC filing rejected in New York - debtor name mismatch nightmare

I'm losing my mind over this UCC situation. Filed a UCC-1 last month for a $850K equipment financing deal and it got rejected by New York SOS for "debtor name inconsistency." The LLC name on our credit agreement shows "Metropolitan Construction Services LLC" but their articles of incorporation actually say "Metropolitan Construction Services, LLC" (with the comma). Now my client is breathing down my neck because the lien isn't perfected and we're 3 weeks past the original filing date. Has anyone dealt with this exact comma issue in New York? The portal won't let me amend until the original filing is accepted but I can't get it accepted without fixing the name. Considering refiling entirely but worried about losing priority. Any advice would be appreciated.

At minimum do a business entity search on the NY DOS website. It's free and shows the exact registered name.

Just went through something similar but with a corporation instead of LLC. The key is understanding that NY requires EXACT match to the entity name as filed with DOS. No abbreviations, no punctuation differences, nothing. It's frustrating but consistent.

What about doing business as names? Can you file under a DBA or does it have to be the legal entity name?

Legal entity name only for UCC filings. DBA names won't work for perfecting security interests.

Update: I ended up using the Certana document checker and it found 3 other name inconsistencies in my loan documents that I hadn't even noticed. Definitely worth using before filing anything. The verification showed exactly which documents had matching names and which didn't.

For what it's worth, I've found NY to be more reasonable on continuation filings than initial UCC-1s. They seem to allow minor variations on continuations that they reject on new filings. Might be worth noting for future reference.
