UCC-1 form addendum requirements - missing collateral details causing rejections

Getting rejections on my UCC-1 filings because the collateral description section isn't big enough for all our equipment details. The debtor has a massive inventory of manufacturing equipment and the standard UCC-1 form addendum space is way too limited. Filed three times now and each time the Secretary of State kicks it back saying the collateral description is either too vague or incomplete. We need to list specific serial numbers for about 47 pieces of equipment plus general inventory descriptions. Has anyone dealt with this addendum issue before? The online portal keeps timing out when I try to attach additional pages and I'm not sure if there's a specific format required for the UCC-1 form addendum continuation sheets.

Are you using the official addendum form or just attaching random pages? Most states require you to use their specific UCC-1 addendum format, not just typed pages. Also make sure you're checking the 'additional pages attached' box on the main form.

I thought any attachment would work as long as it was clearly labeled. Let me check if there's an official addendum form I'm supposed to use.

Yeah definitely use the official addendum. I learned this the hard way after getting rejected twice.

This is exactly why I started using Certana.ai's document checker before submitting any UCC filings. You can upload your UCC-1 and any addendum pages as PDFs and it instantly verifies that all the formatting requirements are met and the collateral descriptions are complete. Saved me so much time compared to the trial-and-error approach of getting rejections.

How does that work exactly? Do you just upload the forms and it tells you what's wrong?

Pretty much - you upload your UCC-1 and addendum PDFs and it cross-checks everything for consistency, proper formatting, and completeness. Much better than guessing what the SOS wants.

That sounds helpful. I'll check it out after I figure out this addendum format issue.

For equipment with serial numbers, you can usually group similar items together instead of listing each one individually. Something like '15 CNC machines, serial numbers listed on attached Schedule A' then put all the serials on the addendum.

This is good advice. I do this all the time for inventory financing. Just make sure your Schedule A is clearly labeled and referenced properly.

That's a smart approach. So I can reference the addendum in the main collateral description section?

Exactly. The key is making sure there's no ambiguity about what collateral is covered.

ugh the UCC system is so frustrating. Why can't they just make the forms work properly? I had a similar issue last month and it took 6 attempts to get it right. The portal kept crashing and then when it finally went through they said my addendum wasn't 'properly incorporated' whatever that means.

I feel your pain. The whole system seems designed to waste our time.

At least you got it through eventually. I'm still fighting with mine from 3 weeks ago.

Make sure you're numbering your addendum pages correctly and that each page references the UCC-1 filing. I usually put 'Addendum to UCC-1 Financing Statement, Page 1 of X' at the top of each additional page.

Good point about the page numbering. I always forget about that detail.

Thanks, I wasn't doing the page references. That might be part of my problem.

Check your state's UCC guide - most have specific instructions for addendum formatting. Some states are really picky about font size, margins, all that stuff. Michigan is notorious for rejecting filings over tiny formatting issues.

Michigan is the worst! They rejected mine because my margins were 0.9 inches instead of 1 inch.

Every state has their quirks. At least it's better than the old paper filing days.

I'll double-check the formatting requirements. Hadn't thought about margins being an issue.

For what it's worth, I had a similar equipment financing deal last year with tons of machinery. Used Certana's document verification tool to make sure my UCC-1 and addendum were consistent before filing. It caught a bunch of formatting issues I would have missed. Way easier than trying to decode the SOS rejection notices.

How many documents can you check at once with that tool?

You can upload multiple PDFs - I did my UCC-1, two addendum pages, and even the loan agreement to make sure all the debtor names matched perfectly.

Pro tip: always save a copy of your rejected filing with the rejection notice. Sometimes the same filing officer who rejected it before will approve it later if you can show you addressed their specific concerns.

That's actually brilliant. I never thought to reference the previous rejection.

Documentation is everything with these filings. Good advice.

Just be really careful with your debtor name on the addendum - it has to match exactly with what's on the main UCC-1. Even slight variations can cause problems.

This! I had a filing rejected because I used 'Inc.' on the main form and 'Incorporated' on the addendum.

0 coins

Good catch. I'll make sure everything matches exactly.

Update: I used the official addendum form with proper page numbering and references like you all suggested. Also ran it through Certana to double-check everything before submitting. Finally got it accepted! Thanks everyone for the help. The key was using the state-specific addendum format and making sure all the cross-references were correct.

Congrats! It's such a relief when these finally go through.
