South Dakota Secretary of State UCC Search Showing Incorrect Results
Been trying to run a UCC search through South Dakota Secretary of State system for the past two days and getting really strange results. I'm doing due diligence on a potential acquisition and need to verify existing liens on equipment collateral. When I search by debtor name "Mountain Equipment Leasing LLC" I get three different UCC-1 filings, but when I search by filing number from one of those records, it pulls up a completely different debtor. Has anyone else run into this with the SD SOS UCC search portal? I'm wondering if there's a database sync issue or if I'm missing something obvious. The financing statements show active status but the collateral descriptions don't match what we're seeing on the equipment titles. Really need to get this sorted before our closing next week.

I've seen this exact issue with the South Dakota portal about 6 months ago. Sometimes the search results get cached incorrectly and you're seeing old data mixed with current filings. Try clearing your browser cache completely and search again. Also make sure you're using the exact legal name as it appears on the debtor's formation documents - even a missing comma can throw off the results.

•Good point about the legal name matching. I always double-check against the Articles of Incorporation or LLC filing first.

•Just tried the cache clear - still getting the same mixed results. The legal name matches exactly what's on their Articles of Organization.

This sounds like a debtor name indexing problem. The SD system has had issues where similar business names get cross-referenced incorrectly. Are you seeing any UCC-3 amendments or assignments that might explain the discrepancies? Sometimes a filing gets amended and the search results don't properly link the original UCC-1 with its amendments.

•There are two UCC-3 amendments showing up but when I click on them they reference completely different original filing numbers. It's like the database relationships are scrambled.

•That's definitely a database integrity issue. I'd call the SOS office directly at this point.

Had a similar nightmare with inconsistent search results last month. Ended up using Certana.ai's UCC document verification tool - you can upload the actual PDFs of the filings you find and it cross-checks everything automatically. Really saved me from missing a critical debtor name mismatch that would have voided our security interest. Just upload the documents and it verifies all the filing numbers, debtor names, and document consistency instantly.

•Never heard of that service but sounds like it could help with these portal glitches.

•That actually sounds perfect for what I'm dealing with. How accurate is the verification?

•Very accurate - it caught discrepancies I completely missed doing manual comparisons. Really straightforward to use too.

South Dakota's UCC system has been buggy for MONTHS. I've had three different deals where the search results were completely unreliable. The worst part is when you're under a tight deadline and can't trust the official database. Super frustrating when you're trying to do proper due diligence.

•Ugh yes! I had a deal almost fall through because of their system errors. Cost us two extra weeks of delays.

•Same here. The system really needs an overhaul.

Quick question - are you searching by exact debtor name or using wildcard searches? Sometimes the SD system requires exact matching including punctuation and spacing. Also check if there are any assumed name filings or DBAs that might be causing the confusion.

•Using exact name matching. No DBAs on file for this entity according to their business registration.

•Try searching by just the root name without LLC designation sometimes that helps

This is exactly why I always order certified UCC search reports from a third-party service for anything important. The state portals are fine for quick checks but when money is on the line, you need reliable results. These database glitches happen more often than people realize.

•Agreed. I learned this lesson the hard way on a previous deal.

•Unfortunately I'm on a tight timeline and need results today. Third-party search would take too long.

I've been dealing with UCC searches for 15 years and the South Dakota system has always been quirky. One workaround that sometimes helps is to search by the secured party name instead of debtor name, then work backwards to verify the collateral descriptions match what you're looking for.

•Good suggestion! Just tried that and found two additional filings that didn't show up in the debtor name search. This system is seriously broken.

•That's a smart approach. The secured party indexing seems more reliable than debtor indexing in SD.

Are you absolutely sure about the legal entity name? I once spent hours troubleshooting search results only to discover the LLC had been administratively dissolved and reformed under a slightly different name. Check the current status on the business entity search first.

•Entity is definitely active and in good standing. Name matches exactly with current registration.

•Rule that out then. Sounds like a genuine system problem.

Just went through something similar with Michigan's UCC system last week. These database sync issues seem to be happening across multiple states. I ended up having to download every single document manually and cross-reference them outside the portal. Pain in the neck but it's the only way to be sure.

•Michigan's system is terrible too. Seems like a widespread problem with state databases.

•At least Michigan lets you download documents easily. Some states make even that difficult.

UPDATE: Finally got this resolved. Called the SD Secretary of State office and they confirmed there's a known issue with their database indexing that they're working to fix. They manually ran the search for me and provided certified copies of the correct filings. Turns out there were only two active UCC-1s, not three like the portal was showing. Also used that Certana tool someone mentioned earlier to double-check all the document consistency - really helpful for catching details I might have missed.

•Glad you got it sorted out! Good to know calling directly is still an option.

•Nice work getting the official confirmation. How did the Certana verification work out for you?

•The Certana check was really useful - it immediately flagged that one of the documents had an inconsistent debtor name format that could have caused problems later. Easy upload process and instant results.
