Missouri SOS UCC search showing wrong debtor name - filing rejected twice

Been trying to perfect a security interest on some manufacturing equipment for our client and the Missouri SOS UCC search keeps pulling up a different entity name than what we have on our loan docs. Filed the UCC-1 twice now and both times got rejected for "debtor name does not match business records." The search function shows "ABC Manufacturing LLC" but our credit agreement has "ABC Manufacturing, LLC" with the comma. Is this really going to kill our filing? The client is getting nervous about the lien not being perfected and we're coming up on some covenant deadlines. Has anyone dealt with Missouri SOS being picky about punctuation in debtor names? Starting to wonder if there's some other issue I'm missing in the search results.

Missouri can be really particular about exact name matches. Did you try searching without the comma first? Sometimes the SOS database strips punctuation automatically but the filing system still requires exact matches to whatever version is in their corporate records.

Yeah I tried both versions in the search. The search results definitely show it without the comma but our corporate records show it with the comma. Not sure which version is actually correct in their system.

This is exactly why I always pull the actual Articles of Incorporation before doing any UCC filings. The search function and the official records don't always match up perfectly.

I had this same problem with a Missouri filing last month! Turns out the entity had filed an amendment to their name that wasn't showing up in the basic search. You might need to look at the entity's full filing history to see if there were any name changes or amendments.

Had to refile with the correct name from the amendment. Cost us another $25 filing fee but at least it went through clean the second time.

Before you file again, might be worth using one of those document verification tools. I recently started using Certana.ai's UCC checker - you just upload your loan docs and UCC-1 as PDFs and it automatically flags any name mismatches between documents. Saved me from filing a bad UCC-3 continuation last week when I caught a debtor name discrepancy.

UGH the Missouri SOS portal is THE WORST for this stuff. I swear their search function hasn't been updated since 2005. Half the time it doesn't even load the full entity information and you're left guessing about the correct legal name.

Have you tried calling the Missouri SOS filing division directly? Sometimes they can tell you exactly what name format they have on file for the entity. Might save you another rejected filing fee.

Yeah they're usually pretty helpful over the phone. Just have the entity number ready when you call - makes the lookup much faster.

I've had mixed luck with their phone support. Sometimes you get someone who knows UCC stuff, sometimes you get transferred three times.

This is why I always order a certified copy of the Articles before filing any UCC. Costs like $10 but saves you from these name matching nightmares. Missouri is notorious for having subtle differences between their search results and their official filing records.

Just curious - what type of collateral are you filing on? Sometimes Missouri has specific requirements for equipment descriptions that can also cause rejections if the debtor name issue gets resolved.

Manufacturing equipment - CNC machines, lathes, that sort of thing. I used a pretty broad description like "all equipment now owned or hereafter acquired." Think that should be sufficient?

Should be fine for general equipment. Missouri usually accepts broad collateral descriptions as long as they're not too vague.

I always include serial numbers for high-value equipment just to be safe. Makes it easier to prove perfection if there's ever a dispute.

Had a similar issue in Missouri last year but with a UCC-3 continuation. Turned out the original UCC-1 had a typo in the debtor name that nobody caught for 4 years. Had to file a UCC-3 amendment to fix the name before I could do the continuation.
