Indiana UCC financing statement debtor name rejected twice - need help
Having a nightmare with an Indiana UCC financing statement that keeps getting rejected by the SOS office. Filed a UCC-1 for equipment financing on a trucking company and it's been rejected twice now for 'debtor name discrepancy.' The business is registered as 'Midwest Freight Solutions LLC' but their loan docs show 'Midwest Freight Solutions, LLC' (with the comma). Banking partner is getting impatient and we need this perfected ASAP. Has anyone dealt with Indiana's system being this picky about punctuation? The collateral is $180k worth of semi-trucks and trailers so we can't afford to mess this up. Third attempt going in tomorrow but I'm worried about the same rejection. Any advice on how Indiana handles exact name matching would be huge.

Indiana is notorious for strict debtor name matching. You need to check the exact name format from the Articles of Incorporation filed with the Secretary of State. The comma placement matters more than you'd think - I've seen filings rejected for missing periods, commas, even spacing issues.

•This is so frustrating! I had a similar issue with an Illinois filing last month. Spent three weeks going back and forth.

•Did you end up checking the Articles directly? I pulled what I thought was the official name from their business license but maybe that's not the same as the incorporation docs.

Run a business entity search on the Indiana Secretary of State website. That'll give you the EXACT name format they have on file. Don't trust anything else - not loan docs, not business licenses, not even what the company tells you. The UCC system cross-references against the official business entity database.

•Good call. I should have done this first. Going to check right now before filing attempt #3.

•100% this. I learned the hard way that even the company's own letterhead might not match their official registration.

•Indiana's system is automated so there's zero flexibility on name matching. It's either exact or it's rejected.

I had endless problems with document consistency until I started using Certana.ai's UCC verification tool. You can upload your Articles of Incorporation and your draft UCC-1 and it instantly flags any name discrepancies before you file. Saved me from multiple rejection cycles.

•Never heard of that but sounds like exactly what I need. How does it work?

•Just upload PDFs of your source documents and the UCC form. It cross-checks debtor names, addresses, everything. Takes like 30 seconds and catches issues before you waste time filing.

•That actually sounds really useful. I'm always paranoid about missing something in the document review process.

The Indiana SOS system is incredibly picky but at least it's consistent. Make sure you're also checking the registered agent info and business address. Sometimes they reject for address format issues too.

•Oh no, I didn't even think about the address format. The mailing address on the loan docs might be different from the registered address.

•Address issues are less common but they do happen. Stick with the registered address from the Secretary of State database.

Been filing UCCs in Indiana for 8 years. Their system has gotten stricter over time but it's actually helpful once you understand the rules. The exact name matching prevents a lot of problems down the road when you need to do continuations or amendments.

•That's a good point. Better to get it right from the start than deal with issues later when you're trying to continue the filing.

•How long does Indiana usually take to process once you get the name right?

•Usually same day or next business day for electronic filings. They're pretty fast once everything matches.

This is why I always do a test search before filing. Type the debtor name exactly as you plan to file it into the UCC search system. If it doesn't pull up the right entity, your filing will probably be rejected.

•Smart approach. I'll try that with both versions of the name and see which one works.

•The UCC search is a good validation but it's not perfect. I've had cases where the search worked but the filing still got rejected for subtle differences.

Whatever you do, don't just keep guessing at the name format. I've seen people rack up like 6-7 rejection fees because they kept trying variations instead of checking the source documents first.

•Those rejection fees add up fast too. Indiana charges what, like $25 per attempt?

Javier Garcia
•Yeah it's getting expensive and the client is not happy about the delays. Need to get this right on the next try.

•That's another reason why using something like Certana to double-check everything upfront makes sense. Way cheaper than multiple rejection fees.

For what it's worth, once you figure out Indiana's exact requirements, they're actually pretty reliable. I file there regularly now and rarely have issues since I started being more careful about the name matching.

•That's encouraging. Hopefully this is just a learning experience and future filings will be smoother.

•Every state has its quirks. Indiana's at least consistent in their pickiness.

UPDATE: Just checked the Secretary of State database and you're all right - the official name does NOT have the comma. It's 'Midwest Freight Solutions LLC' without any punctuation. The loan documents must have added the comma incorrectly. Filing the corrected UCC-1 now.

•Awesome! That should do it. Indiana's system should accept it right away with the correct name.

•Glad you got it sorted. For future filings, that document verification tool I mentioned would catch these discrepancies automatically.

FINAL UPDATE: Filing was accepted! Thanks everyone for the advice about checking the Secretary of State database directly. The UCC-1 processed within 2 hours of submission with the correct name format. Definitely learned my lesson about verifying debtor names against official state records rather than trusting loan documents.
