UCC financing statement filing rejection - debtor name discrepancy help needed
Had my UCC financing statement rejected twice now and honestly starting to panic a bit. Filed a UCC-1 for equipment financing on a construction company and keep getting kicked back for "debtor name does not match exactly." The business is registered as "Northwest Construction Services LLC" but their bank docs show "Northwest Construction Services, LLC" (with the comma). Secretary of State portal keeps rejecting it. This is a $750K equipment loan and we're approaching our perfection deadline. Has anyone dealt with this exact comma issue before? I've tried both versions and still getting rejections. The collateral description is solid (all construction equipment, vehicles, and fixtures) but this name thing is killing me. Any advice on getting this through the system?

Oh man, been there! The comma thing is brutal. Washington state is super picky about exact matches. You need to check the EXACT name on file with the Secretary of State business registration database first. Don't go by bank docs or contracts - only what's officially registered matters.

UGH the Washington filing system is THE WORST. I swear they reject stuff just to make our lives miserable. Had a termination rejected because I put a period after 'Inc' when the registration didn't have one. RIDICULOUS.

For Washington specifically, you need to use the EXACT name from the Certificate of Formation or Articles of Incorporation. Check the original filing documents, not amendments. Also, if it's an LLC, make sure you're using the proper designator exactly as filed (LLC vs L.L.C. vs Limited Liability Company).

Pro tip: if you're still getting rejections, try calling the UCC division directly. Sometimes they can tell you exactly what the system is looking for. Got through once and the lady was actually helpful.

Check if there are any invisible characters in the name field. Sometimes copying and pasting from PDFs adds weird formatting that you can't see but the system picks up.

Had similar issues in Oregon but their system at least gives you better error messages. Washington just says 'rejected' and leaves you guessing.
