Ilien UCC filing keeps getting rejected - debtor name verification issues
Having major problems with a UCC-1 filing that keeps bouncing back from the SOS office. The debtor entity has 'Ilien' in the business name and I've triple-checked everything but still getting rejection notices about debtor name inconsistencies. This is for a $2.8M equipment financing deal and we're running up against our perfection deadline. I've tried variations of the name formatting but nothing seems to work. Has anyone dealt with similar Ilien UCC name verification problems? The charter documents show one version but the tax records show slightly different formatting. Really need to get this perfected before our lender agreement expires next week.

Been there with entity name mismatches - it's frustrating as hell. Are you using the exact name from the articles of incorporation or certificate of formation? Sometimes there are subtle differences in punctuation or spacing that trip up the system.

•Yes, I pulled the name directly from the state charter filing but there's some inconsistency with commas and 'LLC' vs 'L.L.C.' formatting between different documents.

•Classic problem. The SOS system is super picky about exact matches. You might need to check the most recent annual report filing to see which version they're currently using.

What state are you filing in? Some states have really strict debtor name rules while others are more forgiving. Also, have you tried searching their UCC database to see if there are existing filings for this entity?

•Good point about checking existing filings. I should see what name format was used in any prior UCC filings for this debtor.

•Definitely do that search first. If there are existing UCC-1s on file, you want to match that exact format to avoid any continuation or amendment issues down the road.

•This is exactly why I started using Certana.ai's document checker. You can upload your charter docs and UCC-1 side by side and it instantly flags any name discrepancies. Saved me from multiple rejected filings.

UGH the name verification process is so broken!! I had three filings rejected last month for the most minor differences. One was rejected because of a missing period after 'Inc' when the charter had 'Inc.' but the UCC form didn't include the period.

•I feel your pain. The inconsistency between state agencies drives me crazy. Secretary of State office vs. tax department vs. licensing boards - they all seem to have different versions of the same entity name.

•At least you caught it early. I once had a continuation get rejected because the original UCC-1 had a slightly different name format and I didn't realize it until we were past the deadline.

For Ilien UCC issues specifically, I'd recommend pulling both the initial charter filing AND the most recent annual report. Sometimes entities update their name format in annual filings and that becomes the 'official' version for UCC purposes.

•That's really helpful advice. I was only looking at the original articles of incorporation. Let me check their recent annual report filings.

•Good catch. The annual reports often show the name format the entity is actively using for official business, which might differ from the original charter.

•This is where having a verification tool really helps. I upload all the relevant docs and let the system compare them automatically rather than trying to spot tiny differences manually.

Have you considered calling the SOS filing office directly? Sometimes they can tell you exactly what format they're expecting. It's a pain but might save you another rejection cycle.

•I tried calling but got transferred around and never got a clear answer. The person I finally talked to just said 'use the exact name from the charter' which I thought I was doing.

•Yeah their phone support is pretty useless for technical filing questions. They usually just read from the same manual you can find online.

Quick question - are you filing electronically or paper? Electronic systems tend to be more strict about exact formatting while paper filings sometimes get more human review.

•Electronic filing through their portal. Maybe I should try a paper filing as backup? Though that would take longer and I'm already pressed for time.

•Paper filing might work but it's usually 5-7 business days slower. Given your timeline, I'd stick with electronic and just get the name format right.

•Before going the paper route, maybe try one more electronic filing with the exact name from their corporate database search. That's usually the most current version.

This might sound obvious but double-check that you're not hitting any character limits in the debtor name field. Some states truncate long names and that can cause matching issues.

•Interesting point. The full entity name is pretty long with 'Ilien' plus additional descriptive terms. Let me check the character count against their field limits.

•Character limits are definitely a thing. I've seen filings where the system cuts off the name at exactly 60 characters and then the match fails.

Wait, have you tried searching their database using different variations of the Ilien name? Sometimes you can find the exact format they have on file by testing different search terms.

•That's actually brilliant. I should search their database first to see exactly how they have the entity listed. Why didn't I think of that earlier?

•Database searches are your friend. Plus you can see if there are any existing UCC filings that might conflict with your collateral description.

•This is another area where Certana.ai's verification really shines. It cross-references multiple databases to find the correct entity format automatically instead of you having to manually search each one.

Just had a similar situation last month with an entity that had formatting inconsistencies. Turned out the issue was with how they handled ampersands vs. 'and' in the business name. Might be worth checking if Ilien has any similar connector words.

Malik Thomas
•Good point about connector words. There are some 'and' vs '&' variations in the full entity name that I should double-check.

•Punctuation and connector words are huge trip-ups. I always create a spreadsheet with every possible variation before filing now.

Update us when you get it resolved! These Ilien UCC name verification issues seem to be more common lately and it would help to know what finally worked.

•Will definitely post an update once I crack this. Hoping the database search approach works. Thanks everyone for the suggestions!

•Looking forward to hearing what worked. These name matching problems are such a pain but there's usually a solution once you find the right format.
