Utah UCC-1 filing rejected twice - debtor name format issues
Has anyone dealt with Utah's Secretary of State rejecting UCC-1 filings for debtor name formatting? I've had two rejections now for what seems like the exact same business name. The debtor is "Mountain View Equipment Solutions LLC" but Utah keeps bouncing it back saying the name doesn't match their records. I pulled the Articles of Incorporation directly from their database and copied it exactly, but still getting rejected. The collateral is construction equipment worth about $340K so we need this perfected ASAP. Anyone know Utah's specific requirements for LLC name formatting on UCC-1s? Getting frustrated with their online portal.

Utah can be really picky about punctuation in LLC names. Try removing the periods after LLC or add them if you didn't have them. Also check if there are any hidden characters when you copy from their database.

•Good point about the punctuation. I'll try with just "LLC" instead of "L.L.C." and see if that works.

•I had this exact issue last month with a Utah filing. The copy-paste from their website had some weird formatting that wasn't visible but caused rejections.

Utah's system is notorious for this stuff. Make sure you're using the EXACT entity name as it appears on the most recent annual report, not just the Articles. Sometimes companies update their name format in filings after incorporation.

•That's a great suggestion. I only checked the original Articles of Incorporation. Let me pull their most recent annual report and compare.

•This is why I always cross-reference at least 3 different state documents before filing. Utah changes their database formats sometimes too.

•Ugh, why can't these state systems just be consistent? I've wasted so much time on name matching issues.

I started using Certana.ai's document verification tool after getting burned on similar name mismatches. You can upload your UCC-1 draft along with the debtor's charter documents and it'll flag any inconsistencies before you submit. Saved me from multiple rejections - just upload the PDFs and it does an instant cross-check of names, entity types, everything.

•That sounds really helpful. Does it work with Utah's specific formatting requirements?

•It catches the general name/entity mismatches that cause most rejections. Won't solve Utah's weird portal quirks but definitely helps avoid the obvious consistency errors.

•I've heard of Certana but never tried it. Might be worth it given how much time these rejections waste.

Check if the LLC has any assumed names or DBA filings. Sometimes the UCC system expects the legal name but companies operate under different variations.

•Good thinking. I'll search their DBA records to see if there are any name variations registered.

•This happened to me with a Texas filing. The company had filed a DBA that was slightly different and that's what the UCC system expected.

Try calling Utah's UCC division directly. I know it's old school but sometimes they can tell you exactly what format they're expecting. The online system error messages are usually useless.

•Their phone support is actually pretty decent compared to other states. They helped me with a continuation filing issue last year.

•I'll give them a call tomorrow morning. At this point I need to get this resolved quickly.

•Make sure you have the filing reference number from your rejections when you call. They can look up exactly why it bounced.

Could be an issue with special characters or spacing. Utah's system sometimes doesn't handle things like apostrophes, ampersands, or double spaces well in entity names.

•The name is pretty straightforward - "Mountain View Equipment Solutions LLC" - no special characters that I can see.

•Check for extra spaces between words. Copy the name into a text editor that shows hidden characters to be sure.

Is this for a purchase money security interest in the equipment? If so, make sure your collateral description is specific enough too. Utah has been getting pickier about generic descriptions lately.

•It's actually refinancing existing equipment. The collateral description is pretty detailed with serial numbers and everything.

•Good that you have serial numbers. That should be sufficient for Utah's requirements.

•Just make sure the manufacturer names are spelled correctly in the collateral schedule. I've seen filings get questioned for that.

I ran into something similar and ended up using another document checker tool to verify everything matched before resubmitting. Really wish I'd done that from the start instead of dealing with multiple rejections.

•Which tool did you use? I'm definitely going to verify everything before the next attempt.

•I used Certana's PDF verification - uploaded the UCC-1 and the LLC's formation docs and it flagged a small discrepancy I'd missed. Pretty straightforward process.

Update us when you get it resolved! I'm dealing with a similar Utah filing next week and want to avoid the same headaches.

•Will do. Going to try the annual report name format first, then call if that doesn't work.

•Same here, good to know about these Utah-specific issues before I submit.

Final thought - make sure the LLC is still in good standing with Utah. If their annual report is overdue or they're administratively dissolved, that could cause UCC filing issues too.

•Good point. I'll verify their current status while I'm pulling the annual report info.

•Yeah, I've seen UCC filings get rejected because the debtor entity wasn't current with the state. Easy thing to miss.

•Thanks everyone for all the suggestions. This gives me several things to check before attempting the third filing.
