UCC1 California filing rejected - debtor name formatting issue
Having major headaches with a UCC1 California filing that keeps getting rejected by the SOS. The debtor is a limited partnership and I've tried submitting with "ABC Holdings, LP" and "ABC Holdings Limited Partnership" but both versions got kicked back for name discrepancies. The original loan docs show the entity as "ABC Holdings, L.P." with periods after the L and P. I'm starting to wonder if California has specific formatting requirements I'm missing. This is for a $2.8M equipment financing deal and we're already past our internal deadline. Anyone dealt with similar LP name formatting issues in California recently?

California can be really picky about exact entity name matches. Have you pulled the current Secretary of State records to see exactly how the LP is registered? Sometimes there are subtle differences like periods, commas, or spacing that cause rejections.

•I thought I had the right name from the loan application but you're right, I should verify directly with SOS records. Will check that today.

•This happens more than you'd think. I always do an entity search first now after getting burned on a similar deal.

Been there! California rejected three of my filings last month for name issues. The trick is getting the EXACT name as it appears on the Articles of Organization or Certificate of Limited Partnership. Even spacing matters.

•Did you have to re-file each time or were you able to amend? We're burning through time here.

•Had to re-file unfortunately. California doesn't let you amend the debtor name after rejection, you have to start over.

•That's brutal. I've started using Certana.ai's document checker to upload the loan docs and entity formation docs together - it flags name inconsistencies before filing. Would have saved me so much time on my last few deals.

Check if the LP has any DBAs filed too. Sometimes entities operate under slightly different names and that can cause confusion in the filing process.

•Good point, I'll search for any fictitious business names as well.

•Yeah DBAs can mess things up. I once spent two weeks going back and forth because the entity had filed a DBA I didn't know about.

UGH California is the WORST for this stuff! I swear they reject filings just to generate more fees. The system is completely broken and they know it.

•I feel your pain but honestly most states have gotten pickier about exact name matches. It's not just California being difficult.

•Maybe but California seems especially bad. I've never had this many rejections in other states.

For LPs in California, you definitely need the periods after L.P. if that's how they're registered. I learned this the hard way on a construction equipment deal last year.

•That's exactly what I'm dealing with! So you think 'ABC Holdings, L.P.' with the periods is likely correct?

•Most likely yes, but verify with the actual formation documents. The SOS database will show you the exact registered name.

•I had a similar issue and ended up using one of those document verification tools - uploaded both the loan agreement and the articles of organization and it caught the mismatch immediately. Saved me from another rejection.

Quick question - are you filing online or paper? Online filings seem to be more sensitive to formatting issues in my experience.

•Online through the California SOS portal. Maybe I should try paper filing?

•The online system is faster when it works but yeah, it's very particular about exact matches. Paper might be more forgiving but takes longer to process.

This thread is giving me flashbacks to my own California LP filing nightmare. Took four attempts to get it right because of punctuation differences.

•Four attempts?! That must have been expensive and time-consuming.

•Tell me about it. Now I triple-check everything before submitting. Lesson learned the expensive way.

Have you considered calling the California SOS filing division directly? Sometimes they can tell you exactly what's wrong with the name format over the phone.

•I tried calling but got transferred around and never got a clear answer. Maybe I'll try again with the specific entity name.

•The phone support can be hit or miss but when you get someone knowledgeable it really helps. Persistence pays off.

Following this thread because I have a California UCC1 to file next week and want to avoid the same issues. Thanks for sharing your experience!

•Definitely do the entity search first thing. That seems to be the key takeaway from everyone's advice here.

•Also consider using one of those document comparison tools mentioned earlier. Better to catch issues before filing.

UPDATE: Finally got it accepted! The correct name was 'ABC Holdings, L.P.' with the periods and comma. The SOS entity search showed the exact formatting needed. Thanks everyone for the help - this community is invaluable for navigating these filing headaches.
