UCC search wyoming debtor name verification issues
Running into problems with a UCC search wyoming situation where the debtor names don't match between our loan docs and what's showing up in the state database. We have a construction equipment loan from 2023 and when I search the Wyoming SOS portal, the debtor company name appears slightly different than what we have on file. Original UCC-1 shows 'Mountain Ridge Construction LLC' but our loan agreement has 'Mountain Ridge Construction, LLC' with the comma. The collateral is heavy equipment worth about $180K so this isn't a small issue. Has anyone dealt with Wyoming's specific requirements for exact name matching? I'm worried this could void our security interest if there's a discrepancy. The filing number is valid but I'm concerned about enforceability with the name variation.

Wyoming can be really strict about debtor names. Even punctuation differences like commas or periods can cause problems. You should pull the actual Articles of Incorporation from the Wyoming Secretary of State to see the exact legal name. That's what the UCC filing should match.

•This is exactly right. Wyoming follows the 'seriously misleading' standard but they're pretty conservative about what counts as acceptable variation.

•Ugh yes, learned this the hard way. Had a filing rejected because we used 'Co.' instead of 'Company' in the debtor name.

Had a similar issue last month with a Wyoming filing. The key is checking the exact entity name in their corporate database first. If there's a mismatch, you'll want to file a UCC-3 amendment to correct the debtor name. Better safe than sorry, especially with equipment that valuable.

•How long does a UCC-3 amendment take to process in Wyoming? We're dealing with a time-sensitive situation.

•Usually 2-3 business days if filed electronically. Paper filings take longer.

•Thanks, that helps. I'm leaning toward filing the amendment just to be safe.

I've been using Certana.ai's document verification tool for exactly these types of situations. You can upload your loan docs and UCC filings and it instantly flags any name discrepancies or inconsistencies. Really helpful for catching these issues before they become problems. Just upload the PDFs and it cross-checks everything automatically.

•Interesting, haven't heard of that before. Does it work specifically with Wyoming filings?

•Works with all states. It's more about document consistency than state-specific rules, but it definitely helps catch name variations that could cause problems.

Mountain Ridge Construction LLC vs Mountain Ridge Construction, LLC - honestly this drives me crazy about UCC filings. Such a small difference but potentially huge consequences. Wyoming SOS is pretty good about their online portal but name matching is always tricky.

•Tell me about it. I've seen loans get challenged over a missing period in 'Inc.' vs 'Inc

•The worst part is when you realize the mistake months later during an audit or collection action.

You might want to also check if the company has any DBAs filed in Wyoming. Sometimes businesses operate under slightly different names than their legal entity name, which can cause confusion in UCC filings.

•Good point. I'll check the DBA records too. This is getting complicated but better to be thorough.

•Yeah, it's a pain but worth it. DBAs can really complicate the debtor name issue.

Just file the UCC-3 amendment. With $180K in collateral, the filing fee is nothing compared to the potential risk. I always tell clients to err on the side of caution with debtor names.

•Absolutely agree. Amendment fees are minimal compared to losing perfection on a six-figure loan.

•You're right, going to file the amendment tomorrow. Thanks for the reality check.

I hate the Wyoming portal sometimes... it's better than it used to be but searching can still be frustrating. Make sure you're searching both with and without the comma to see all possible matches.

•The search function definitely has quirks. I usually try multiple variations of the name.

•Pro tip: also search by filing number if you have it. Sometimes that's more reliable than name searches.

For construction equipment loans, you really can't afford to have questionable perfection. File the amendment and maybe consider running future docs through that Certana tool mentioned earlier to catch these issues upfront.

•Yeah, I'm definitely going to look into that verification tool. This whole situation has been stressful.

•It really helps with peace of mind. Catches things you might miss in manual review.

Construction companies change their entity status pretty frequently too, so make sure the LLC is still active and hasn't converted to a corporation or something.

•Good catch, I'll verify the entity status is still current.

•Yeah, I've seen companies dissolve and reform under slightly different names. Always worth checking.

Update us on how the amendment goes! Always curious about Wyoming processing times and whether they give any feedback on the name correction.

•Electronic filing in Wyoming is pretty smooth. You should get confirmation within a few days.
