UCC personal property collateral description rejected - equipment lease confusion

Having major issues with my UCC personal property filing and honestly at my wit's end here. Filed a UCC-1 last month for equipment financing on restaurant gear (ovens, prep tables, POS system) and it got rejected twice now. The SOS keeps saying my collateral description for the personal property is too vague but I thought 'restaurant equipment and fixtures' would cover it. Loan closes next week and my lender is freaking out about the UCC personal property not being perfected. Anyone dealt with this before? Do I need to list every single piece of equipment individually or is there a standard way to describe UCC personal property for restaurant collateral? The financing is for $180K so this can't fall through over paperwork issues.

The fixtures vs personal property thing trips everyone up. For UCC purposes, your ovens and prep tables are probably personal property unless they're built into the building permanently. POS systems are definitely personal property. But if you have any built-in equipment that's attached to the real estate, that might need a fixture filing instead of just a regular UCC-1 for personal property.

Usually restaurant equipment is moveable personal property so one UCC-1 should handle it. But yeah if you have built-in stuff you'd need a fixture filing too.

Personal property = stuff you can move. Fixtures = stuff attached to the building. If your equipment is bolted down permanently it might be fixtures.

It's not that simple though. The fixtures test looks at intent to make it permanent, not just whether it's bolted down.

For restaurant equipment specifically, I'd go with: 'All restaurant equipment, food service equipment, kitchen appliances, food preparation equipment, refrigeration equipment, point-of-sale systems, furniture, and other personal property now owned or hereafter acquired and used in the operation of a restaurant business.' That's worked for me on multiple UCC personal property filings.

That's a good template. The 'now owned or hereafter acquired' part is important for after-acquired property clauses.

Model numbers are usually overkill unless it's really high-value specialized equipment. Generic categories work fine for most personal property.

Had my UCC personal property filing rejected 3 times before I got it right. The SOS clerk told me they're cracking down on vague descriptions because too many people were using overly broad language. Your description needs to be specific enough that someone could understand what personal property is covered but not so specific that you exclude things by accident.

You'll want to be more specific. 'Automotive repair equipment, vehicle lifts, diagnostic equipment, hand tools, and other personal property used in automotive repair operations' would be better.

Question about the fixtures thing - if I have a walk-in cooler that's built into the restaurant, is that personal property or a fixture for UCC purposes? It's permanently installed but it's also equipment.

Walk-in coolers are tricky. If it's built into the structure it's probably a fixture. You might need a fixture filing for that.

I've seen walk-in coolers treated as personal property if they're the kind that can be disassembled and moved. Depends on the installation.

Update: Just tried Certana.ai that someone mentioned earlier and wow, it caught like 5 issues with my UCC personal property description that I never would have noticed. Apparently my debtor name didn't match the charter exactly and my collateral description had some problematic language. Fixed everything and resubmitted - fingers crossed this time it goes through!

For what it's worth, I've found that calling the SOS office directly sometimes helps when you're having UCC personal property issues. They can't give legal advice but they'll sometimes tell you if your description is in the right ballpark before you submit.
