UCC filing rejected - vehicle security agreement debtor name mismatch

Filed a UCC-1 last week for a fleet of delivery trucks we're financing and the state portal kicked it back with a debtor name error. The vehicle security agreement shows the business as "Martinez Bros Transport LLC" but their articles of incorporation say "Martinez Brothers Transportation, LLC" - apparently the SOS system is super picky about exact matches. This is a $180K financing deal and I'm freaking out because we're already past the 20-day perfection window from when we funded. Has anyone dealt with this kind of vehicle security agreement vs corporate charter name discrepancy? Do I need to amend the security agreement or can I just refile the UCC with the charter name? The collateral description includes 8 specific VINs so that part should be solid.

Been there with vehicle deals. The debtor name has to match EXACTLY what's on file with the state - no abbreviations, no shortened versions. You'll need to check their actual charter documents and use that exact name on your UCC-1 refiling. The good news is you can probably still perfect if you refile within a reasonable time since your original attempt was made in good faith.

You absolutely need to match the charter name exactly. I had a similar situation with a trucking company where we used "Transport" instead of "Transportation" and got rejected three times before figuring it out. Don't amend the security agreement - just refile the UCC-1 with the correct debtor name from their articles of incorporation.

The timing might actually be ok if you can show continuous good faith effort to perfect. Courts have been pretty reasonable about technical name issues.

Check if your state has a UCC name search feature on their portal. Some states let you search business names to see exactly how they're listed in the system. That way you can copy/paste the exact name format they have on file. Saves guesswork on the refiling.

Vehicle security agreements are tricky because you've got the personal property aspects plus the title issues. Make sure your collateral description includes all the VIN numbers properly formatted too - I've seen filings rejected for incorrect VIN formatting even when the debtor name was right.

Similar thing happened to me but with LLC vs L.L.C. punctuation. Turned out the state had changed how they format business names in their system but hadn't updated their search function. Sometimes you have to call the filing office directly to figure out their exact formatting requirements.
