NYSDOS UCC search showing wrong debtor name - filing rejected twice

Has anyone dealt with NYSDOS UCC search results not matching exactly what you filed? I'm trying to do a continuation on a UCC-1 from 2020 but the search keeps pulling up a slightly different debtor name than what's on our original filing. The company changed from "ABC Manufacturing LLC" to "ABC Manufacturing, LLC" (added comma) but apparently the original filing shows without the comma in the NYSDOS system. Now my UCC-3 continuation keeps getting rejected because the debtor names don't match exactly. This is driving me crazy - the filing number is correct, the collateral matches, but this tiny punctuation difference is killing me. Anyone know how NYSDOS handles name variations in their search system? I'm worried about missing the continuation deadline at this point.

Oh man, I've been there. NYSDOS is super picky about exact name matches. Even a comma or period can cause rejections. Did you try searching for both versions in their system to see which one actually shows up?

Yeah I tried both ways. The search pulls up the version without the comma but our corporate records show the comma version. Not sure which one is actually correct anymore.

NYSDOS UCC search can be tricky with punctuation. The key is to use the EXACT debtor name that appears in their system, not what's on your current corporate documents. For your continuation, you need to match what's already on file, even if it seems wrong.

Exactly. You can always file an amendment later to update the debtor name if needed, but the continuation has to match the existing filing exactly.

Quick question - when did you originally file the UCC-1? If it was before 2022, there might have been different name formatting rules in the NYSDOS system that could explain the discrepancy.

Filed in early 2020. Didn't know the rules might have changed since then.

Yeah, they updated some of their validation rules around 2021. Your original filing might have gone through under the old system formatting.

happened to me too but with a different state. ended up calling the filing office directly and they walked me through it over the phone. might be worth a shot

For future reference, always save a copy of the filed UCC-1 acceptance notice. That document shows exactly how the debtor name appears in the system, which is what you need to match for amendments and continuations. Many filers only keep their draft versions.

Same here. The acceptance notice is the official record of what's actually on file, not your original draft.

Try doing a broad search with just part of the company name and see if multiple versions show up. Sometimes there are duplicate filings with slightly different names that can cause confusion.
