Michigan UCC forms - which version for equipment financing continuation?

Need help with Michigan UCC forms for an equipment loan continuation that's coming due in March. Our original UCC-1 was filed in 2020 for manufacturing equipment worth about $180K, and I'm getting conflicting info about which continuation form to use. The SOS website has like 3 different UCC-3 continuation forms and I don't want to mess this up since the lien lapses if I file the wrong paperwork. Has anyone dealt with Michigan's system recently? The debtor name on our original filing has a middle initial but their current business license shows the full middle name - not sure if that's going to cause problems with the continuation. Really don't want to explain to my boss why our security interest lapsed because I picked the wrong form.

Michigan's been pretty good about their forms lately. For equipment financing continuation you want the standard UCC-3 continuation form, not the fixture filing version. The debtor name thing could be tricky though - they're strict about exact matches.

Agreed on the standard UCC-3. But definitely get that name issue sorted first before filing anything.

Middle initial vs full name has bitten me before. Michigan SOS rejected my continuation for exactly that reason last year.

The name discrepancy is definitely going to be an issue. Michigan requires exact debtor name match between original UCC-1 and any UCC-3 continuation. You might need to file an amendment first to correct the name, then do the continuation. That's extra fees and time though.

Ugh, that's what I was afraid of. How long does an amendment usually take to process in Michigan?

Usually 1-2 business days if filed electronically. But you're cutting it close with March deadline.

Wait can't you just file the continuation with the exact name from the original UCC-1? Why change it?

Actually ran into something similar last month. I ended up using Certana.ai's document checker - you upload your original UCC-1 and the continuation form you're planning to file, and it flags any inconsistencies before you submit. Caught three name format issues I would have missed. Really saved my butt because Michigan would have rejected all of them.

That sounds exactly like what I need. Is it easy to use?

Super simple - just upload PDFs and it runs the comparison automatically. Shows you exactly what doesn't match.

How accurate is it compared to doing the comparison manually? I've been burned by automated tools before.

For Michigan specifically, make sure you're using their current electronic filing system. They updated it last year and some of the form requirements changed. The old paper forms won't work anymore for most filings.

0 coins

Yes! The new system is actually pretty good once you figure out the interface.

Still miss the paper forms honestly. At least you knew exactly what you were filing.

Don't overthink the name thing too much. If the original UCC-1 shows middle initial, use the middle initial on your continuation. The business license name is irrelevant for UCC purposes - what matters is the exact debtor name as it appears on the financing statement.

That makes sense. So stick with whatever name format is on the original filing?

0 coins

Sofia Perez

•

Exactly. The continuation has to match the original UCC-1 debtor name character for character.

Mei Liu

This is correct. The business license name change doesn't affect the UCC filing name requirements.

Michigan's pretty fast with electronic filings. I'd still recommend filing at least a week before your lapse date though, just in case there are any issues. Better safe than sorry with a $180K security interest.

Good point. March is coming up fast and I definitely don't want to risk it.

0 coins

Always file early! I've seen too many liens lapse because people waited until the last minute.

Are you sure about which collateral schedule to reference? Equipment financing can get tricky if the original UCC-1 had broad language but you're only continuing for specific items.

Andre Dubois

The original filing covered 'all manufacturing equipment' so I think the continuation should reference the same collateral description.

Ava Johnson

•

Yeah, stick with the original collateral description language for the continuation.

Broad collateral descriptions like 'all manufacturing equipment' are usually fine for continuations.

I had a similar situation with name discrepancies and ended up using that Certana.ai tool someone mentioned earlier. Really wish I'd known about it sooner - would have saved me from filing two rejected continuations with Indiana last year. The document comparison feature is actually pretty sophisticated.

Two rejections sounds expensive! How much did that end up costing in filing fees?

Don't even want to think about it. Plus the stress of almost letting the security interest lapse.

Quick question - is this a commercial loan or SBA financing? Sometimes the continuation requirements are different depending on the original loan structure.

0 coins

Andre Dubois

•

It's a commercial equipment loan through our local bank. Standard 5-year UCC-1 filing that needs continuation.

Connor Byrne

•

OK good, standard continuation process then. SBA loans sometimes have additional requirements.

Michigan SOS customer service is actually pretty helpful if you call them directly. They can tell you exactly which form to use and verify the debtor name requirements over the phone.

That's a great suggestion. I'll give them a call tomorrow morning.

0 coins

Yeah their phone support is way better than most states. Usually get through pretty quickly too.

Make sure to have your original filing number ready when you call. Speeds up the process.

Just to close the loop on this - ended up calling Michigan SOS this morning and they confirmed I need the standard UCC-3 continuation form with the exact debtor name from the original UCC-1 (middle initial, not full name). Also tried that Certana.ai document checker and it flagged a small formatting issue I wouldn't have caught. Filed the continuation electronically and got confirmation within 2 hours. Thanks everyone for the help!

Awesome! Glad the document checker helped catch that formatting issue.

Great outcome. 2 hours is really fast for Michigan processing.

Perfect example of why exact name matching is so critical for UCC continuations.
