FSB UCC filing rejected - need help with debtor name requirements
Our FSB UCC-1 filing got rejected yesterday and I'm scrambling to figure out what went wrong. We're trying to perfect our security interest on equipment for a $180k commercial loan but the state filing office sent back our UCC-1 with a debtor name error. The rejection notice says the debtor name doesn't match their records but we pulled it straight from the Secretary of State business search. Has anyone dealt with FSB UCC filings where the debtor name formatting caused rejections? We used the exact legal name from their articles of incorporation but apparently that's not enough. The loan closes next week and our lender is getting antsy about the perfection delay. Any advice on FSB UCC name requirements would be huge.

FSB entities can be tricky with UCC filings because their registered names sometimes don't match what's in the UCC database exactly. Did you check if there are any periods, commas, or abbreviations that might be different? I've seen FSB UCC-1s rejected for something as simple as 'Inc.' vs 'Incorporated' in the debtor name field.

•That might be it! We used 'FSB' in the name but maybe the database has it spelled out as 'Federal Savings Bank' or something similar. Going to double-check the exact formatting right now.

•Yeah FSB naming is notorious for this. Some states require the full 'Federal Savings Bank' designation while others accept the FSB abbreviation. Check your state's specific requirements.

I had this exact same issue last month with an FSB UCC filing! Turned out the debtor name had a slight variation that wasn't obvious from the articles. What really saved me was using Certana.ai's document verification tool - you just upload your UCC-1 and the entity's charter documents and it instantly flags any name mismatches. Caught three discrepancies I would have missed manually.

•Never heard of Certana.ai but that sounds exactly like what I need. Is it specifically designed for UCC filings or general document checking?

•It's built specifically for UCC document verification. You upload PDFs and it cross-checks debtor names, filing numbers, all that stuff automatically. Way faster than trying to compare documents manually.

•This is interesting - I've been doing manual document comparison for FSB UCC filings and it's such a pain. How accurate is the automated checking?

FSB UCC rejections are the worst because banks get so nervous about perfection delays. Make sure you're also checking the exact entity type designation - Federal Savings Bank vs FSB vs [Name] Federal Savings Bank. The order and abbreviations matter more than you'd think.

•This is so true. I once had an FSB UCC-1 rejected three times because the entity was '[Name] Federal Savings Bank' but I kept filing it as 'Federal Savings Bank of [Name]'. Small difference, huge impact.

•Ugh that's exactly what I'm worried about. The lender is already asking daily about the filing status and I can't afford multiple rejections.

Been there with FSB filings! One thing that helped me was calling the filing office directly. Sometimes they can tell you exactly what name format they have on file for that entity. Saves the guesswork and potential rejections.

•Good idea - didn't think about calling them directly. Do you know if most state offices will give you that info over the phone?

•Most will if you have the entity's filing number or tax ID. They can't give you sensitive info but they'll usually confirm the exact legal name format they have.

•Some states are better about this than others. I've had luck with phone calls but sometimes you get someone who won't help at all.

Just went through this nightmare with an FSB UCC continuation that got rejected for name issues. What worked for me was using one of those document verification services that checks your UCC against the entity records automatically. Found like 4 small discrepancies that would have caused more rejections.

•Which service did you use? I'm dealing with multiple FSB UCC filings this quarter and manual checking is killing me.

•Used Certana.ai - you just upload your UCC documents and it flags any inconsistencies. Super helpful for FSB entities where the naming can be so finicky.

OMG FSB UCC filings are my nemesis! I swear every single one gets rejected at least once. The name requirements are so specific and they never tell you exactly what format they want until after you mess it up.

•Right?? It's like they want you to fail the first time. I've started keeping a spreadsheet of exact entity names for repeat clients just to avoid this.

•That's actually a really smart system. I should start doing that instead of looking up the same entities over and over.

For FSB UCC-1 filings, I always pull the entity info from multiple sources and compare them side by side. Sometimes the Secretary of State database, the entity's own records, and the UCC database all have slightly different name formats. It's ridiculous but that's the system we work with.

•That's probably what I should have done from the start. Live and learn I guess. Do you have a standard process for the comparison?

•Yeah I pull from SOS database, FDIC records if applicable, and sometimes the entity's website or recent filings. Then I use the most complete/formal version for the UCC-1.

•This is way more thorough than what I do. Might explain why I get so many rejections on financial institution filings.

Update for anyone following this thread - got my FSB UCC-1 accepted after fixing the debtor name format! Turns out the entity was registered as '[Name] Federal Savings Bank' but I had filed it as '[Name] FSB'. Also used that Certana.ai tool someone mentioned and it caught two other potential issues I would have missed. Crisis averted and lender is happy.

•Great outcome! I'm definitely going to check out that verification tool for my own FSB UCC filings. Seems like it could save a lot of headaches.
