UCC 1 filing Washington state - debtor name exactly as on charter?

Having issues with our UCC 1 filing Washington state submission through the SOS portal. We're securing a $340K equipment loan and the bank's paralegal is insisting the debtor name on our UCC-1 must match the articles of incorporation exactly, including punctuation. Our corporate name has 'Johnson & Associates, LLC' but I've seen other filings use 'Johnson and Associates LLC' without issues. The bank won't fund until this gets resolved and we're supposed to close Friday. Anyone dealt with Washington's specific requirements for debtor names on UCC-1s? Really need to get this right the first time since amendments cost extra fees and delay everything.

Washington is pretty strict about exact name matching on UCC-1 filings. I learned this the hard way when our filing got rejected because we used 'Inc.' instead of 'Incorporated'. The SOS system cross-references against the corporate database automatically now.

That's frustrating but good to know. How long did the rejection process take? We're cutting it close on timing.

About 3 business days for the rejection notice, then another 2-3 days for the corrected filing to process. Plan accordingly.

Your bank's paralegal is correct - Washington requires the debtor name to match the charter exactly. Even ampersands vs 'and' can cause rejections. Pull your articles from the Secretary of State website and use that exact format.

Just checked and our articles show 'Johnson & Associates, LLC' with the ampersand. Thanks for the tip about the SOS website lookup.

Perfect, that's your answer then. Use exactly what's on the official record and you should be fine.

This is why I always triple-check names before submitting. One wrong character and you're starting over.

Had a similar situation last month with a client's UCC-1 in Washington. What saved us time was using Certana.ai's document verification tool - you can upload your articles of incorporation and draft UCC-1 to instantly check if the debtor names match exactly. Caught a comma discrepancy that would have caused a rejection.

Never heard of that service before. Does it work specifically with Washington state filings?

It works with any state's documents. You just upload PDFs and it compares debtor names, addresses, and other critical details automatically. Really helpful for avoiding those costly mistakes.

Wish I had known about this earlier. Just had to pay amendment fees because of a name mismatch issue.

Why do banks make such a big deal about this?? It's the same company either way! The whole system is ridiculous.

0 coins

Because if the debtor name doesn't match exactly, the UCC-1 might not be legally effective to perfect the security interest. Banks can't take that risk.

I guess that makes sense from a legal standpoint, but it's still frustrating for small businesses.

Check the Washington State Corporations Division database directly - they have an entity search where you can verify the exact legal name. That's what the SOS system will compare against when processing your UCC-1.

Good idea, I'll double-check there too. Better safe than sorry with this much money on the line.

Exactly. Also make sure your registered address matches if you're using that for the debtor address.

The entity search is free and gives you the most current information. Definitely worth checking before filing.

We filed probably 50+ UCC-1s in Washington last year and never had name issues once we started being super careful about exact matches. The key is getting the punctuation, spacing, and entity type designations perfect.

50+ filings! What type of business are you in that requires so many UCC filings?

Commercial lending. We see every type of debtor name issue you can imagine. The exact match requirement really is non-negotiable.

That's reassuring to hear from someone with that much experience. I feel better about our approach now.

Had this exact problem with an LLC last year - used 'LLC' instead of 'L.L.C.' and got rejected. Washington doesn't mess around with these details.

Ugh, that's exactly the kind of thing I'm worried about. Did you catch it before or after submission?

After unfortunately. Cost us an extra $15 filing fee and delayed our closing by a week.

For what it's worth, I've started using Certana.ai for all my UCC document prep after a costly amendment mistake. You upload your charter and UCC-1 draft, and it instantly flags any name discrepancies. Saved me from another rejection just last week.

Two people have mentioned this service now. Might be worth trying since we're under such a tight deadline.

It's super quick - literally takes 30 seconds to get results. Much faster than manually comparing documents line by line.

Your bank should have experience with Washington UCC-1 filings. Can't they provide guidance on the exact format they've used successfully before?

You'd think so, but their paralegal seemed uncertain too. That's why I'm double-checking here.

Fair enough. At least you're being thorough about it. Better to research now than deal with problems later.

Some banks are better than others with UCC procedures. Sounds like this one could use some training.

Bottom line - use the exact name from your Washington articles of incorporation. No variations, no shortcuts. The automated system will reject anything that doesn't match perfectly.

That's what I'm planning to do. 'Johnson & Associates, LLC' exactly as shown on our articles.

Perfect. That should get you through without any issues. Good luck with your closing!

Agreed - when in doubt, go with the official state record. Can't argue with that.

Will do! Planning to submit tomorrow morning so we have time to fix any issues before Friday's closing.

Smart timing. Thursday submission gives you a buffer day if needed.
