UCC 1 filing Washington state - debtor name exactly as on charter?
Having issues with our UCC 1 filing Washington state submission through the SOS portal. We're securing a $340K equipment loan and the bank's paralegal is insisting the debtor name on our UCC-1 must match the articles of incorporation exactly, including punctuation. Our corporate name has 'Johnson & Associates, LLC' but I've seen other filings use 'Johnson and Associates LLC' without issues. The bank won't fund until this gets resolved and we're supposed to close Friday. Anyone dealt with Washington's specific requirements for debtor names on UCC-1s? Really need to get this right the first time since amendments cost extra fees and delay everything.

Your bank's paralegal is correct - Washington requires the debtor name to match the charter exactly. Even ampersands vs 'and' can cause rejections. Pull your articles from the Secretary of State website and use that exact format.
