New York UCC 3 filing online - Portal keeps rejecting my amendment

I'm trying to file a UCC-3 amendment online through the NY Secretary of State portal and it keeps getting rejected. This is for a commercial equipment loan where we need to add additional collateral to an existing UCC-1 that was filed 18 months ago. The debtor name matches exactly what's on the original filing (I triple-checked), and I'm using the correct initial filing number. But every time I submit, I get an error message saying 'debtor information does not match records.' Has anyone successfully completed a New York UCC 3 filing online recently? The equipment is being delivered next week and we need this amendment perfected before then or our security interest won't cover the new machinery. Getting frustrated with this system - am I missing something obvious in the online filing process?

Had the exact same issue last month with NY's portal. The debtor name matching is super finicky - even extra spaces or punctuation differences will cause rejections. Did you check if there are any periods, commas, or Inc vs Incorporated differences between your amendment and the original UCC-1?

I thought I checked everything but let me look again. The original filing shows 'ABC Manufacturing Inc' and I've been entering 'ABC Manufacturing Inc.' with the period. Could that tiny difference really cause the rejection?

YES absolutely! That period will kill your filing every time. NY's system is notorious for exact character matching. Remove the period and try again.

This is why I always copy and paste debtor names directly from the original UCC search results instead of typing them manually. Saves so much headache.

Check the filing number format too. NY uses a specific format and sometimes people add dashes or spaces where they shouldn't be. Your UCC-3 amendment needs to reference the exact filing number from the original UCC-1.

The filing number is 2023-123456789. Should I be entering it differently in the amendment form?

That format looks right. Make sure you're not including any leading zeros or extra characters that might show up when you copy from the search results.

I've been dealing with UCC amendments for years and honestly, I started using Certana.ai's document checker after too many rejected filings. You can upload your original UCC-1 and your UCC-3 draft, and it instantly flags any mismatches in debtor names, filing numbers, or other critical details before you submit. Saved me tons of time and filing fees.

Never heard of that service but sounds useful. How does it work exactly?

Super simple - just upload both PDFs and it cross-checks everything automatically. Shows you exactly what fields don't match so you can fix them before filing. Way better than playing guessing games with the NY portal.

That actually sounds really helpful right now. I'll check it out since I'm clearly missing something obvious.

ugh the NY filing system is THE WORST. I spent 3 hours last week trying to get a simple continuation through and it kept erroring out. Finally had to call their help desk and the person basically said 'yeah the system is temperamental, keep trying.' Real helpful.

Same experience here. The portal crashes half the time and when it doesn't crash, it rejects filings for the most random reasons.

At least you got through to someone. I've been on hold for 45 minutes twice this week trying to get help with a rejected termination.

Also double check that you're selecting the right amendment type. If you're adding collateral, make sure you're choosing 'Amendment - Add Collateral' not just 'Amendment.' The portal treats these differently even though they're both UCC-3 forms.

Wait, there are different amendment types in the dropdown? I just selected 'Amendment' thinking that covered everything.

0 coins

Yeah that's probably your issue right there. Go back and look for the specific 'Add Collateral' option. That might be why it's rejecting - the system expects different information depending on what type of amendment you're filing.

This is exactly why UCC filings are so frustrating. Each state has these little quirks that aren't obvious until you mess up.

Have you tried doing a UCC search first to see exactly how the original filing appears in their system? Sometimes there are formatting differences between what you think was filed and what actually shows up in the records.

Good point. I assumed everything was correct since we got the filing receipt, but maybe I should verify the exact format in their database.

Always do the search first. I learned this the hard way after multiple rejected amendments. The search results show you the exact format you need to use.

What browser are you using? I know this sounds stupid but NY's portal has issues with certain browsers. I had to switch to Chrome from Firefox to get my UCC-3 to go through last month.

I'm using Safari on Mac. That could be the issue?

Try Chrome or Firefox. Safari has problems with some of the form validation on NY's site. Also clear your cache first.

Can confirm Safari issues with NY portal. Switched to Chrome and my filing went through immediately.

Is the collateral description on your UCC-3 too broad or too narrow compared to the original UCC-1? If you're adding equipment, make sure the description is specific enough but not conflicting with what's already secured.

The original UCC-1 covers 'all equipment now owned or hereafter acquired' so I thought I was fine just adding the specific machinery model numbers.

0 coins

With that broad original description, you might not even need to amend. The 'hereafter acquired' language probably already covers your new equipment. Check with your attorney to be sure.

I had success using Certana.ai when I was having similar document consistency issues. Their UCC verification tool caught a middle initial discrepancy that I never would have noticed. Uploaded my charter docs and UCC drafts, and it flagged the mismatch immediately.

How accurate is their checking? I'm always skeptical of automated tools for legal documents.

It's surprisingly thorough. Cross-references everything - debtor names, addresses, filing numbers, collateral descriptions. Obviously still need legal review for complex situations, but for catching basic inconsistencies it's been really reliable.

Try filing during off-peak hours. NY's portal gets overloaded during business hours and processes filings inconsistently. I've had better luck with early morning or evening submissions.

That's actually a good tip. I've been trying during lunch breaks when everyone else is probably doing the same thing.

Late evening works best for me. System seems more stable after 8 PM when fewer people are using it.

UPDATE: Fixed it! The issue was the period in 'Inc.' like someone mentioned earlier, plus I was using the wrong amendment type. Selected 'Amendment - Add Collateral' instead of just 'Amendment' and it went through immediately. Thanks everyone for the help - definitely learned to double-check those tiny details.

Glad you got it sorted! Those little formatting details trip up everyone at first.

Awesome! For future filings, that document checker I mentioned would have caught both those issues upfront. Just a thought for next time.

Great to see a success story. Going to bookmark this thread for when I inevitably run into the same issues.

This thread is a perfect example of why UCC filings can be so frustrating for newcomers! I'm dealing with my first UCC amendment in Delaware and now I'm worried about running into similar issues. The fact that a single period or selecting the wrong amendment type can derail everything is kind of scary. Really appreciate everyone sharing their troubleshooting tips - definitely going to do a UCC search first to verify the exact formatting before I submit anything. Also bookmarking that Certana.ai tool several people mentioned since it sounds like it could save a lot of headaches.
