Maryland Secretary of State UCC Search Issues - Need Help Finding Filed Liens

Having major problems with maryland secretary of state ucc search functionality and wondering if anyone else is dealing with this. I'm trying to locate several UCC-1 filings from 2023-2024 for due diligence on a commercial loan package, but the search results keep coming back inconsistent. Sometimes I get partial matches, other times the same exact debtor name pulls up completely different results. The collateral descriptions don't seem to match what I'm expecting based on the loan documents either. Is there a trick to getting accurate results from their system? I've tried variations of the business name, individual guarantor names, and even partial searches but still getting frustrated with what feels like incomplete data. This is for a $450K equipment financing deal and I really need to make sure we're not missing any existing liens before we file our UCC-1. Any maryland filers have tips for making their search portal actually work properly?

Maryland's UCC search can be tricky - you need to search EXACTLY as the debtor name appears on the original filing. Even extra spaces or punctuation marks will throw off results. Try searching with just the core business name without LLC, Inc, etc. Also check if they have separate individual vs business entity search options.

Thanks for the tip about exact name matching. I was including the full LLC designation which might be causing issues. Going to try the core name approach.

This is why I always search multiple name variations. The system is super literal about spacing and punctuation.

Been doing UCC searches in Maryland for 8 years and their portal definitely has quirks. Make sure you're using their 'contains' search rather than exact match for business names. Also, sometimes filings take 24-48 hours to show up in search results even after they're accepted.

Good point about the processing delay. Some of these might be recent filings that just haven't populated yet.

Wait, Maryland has a 'contains' search option? I've been doing exact matches this whole time and probably missing stuff.

Yes, look for the dropdown menu next to the search field. Contains, exact match, and begins with are all options.

Had similar issues last month with inconsistent Maryland UCC search results. Ended up using Certana.ai's document verification tool which helped me cross-reference what I found in the state system with the actual loan documents. You can upload the PDFs and it automatically checks for name mismatches and missing information that might affect your search strategy.

Interesting, never heard of Certana.ai. Does it actually interface with the state systems or just help organize the documents you already have?

It analyzes the documents you upload - so you'd run your state search first, then upload those results along with your loan docs to verify everything matches properly. Really helpful for catching name variations you might have missed.

How accurate is it compared to manual review? I'm always skeptical of automated tools for something this important.

$450K deal and you're having search issues? This is exactly why I hate relying on state portals for critical due diligence. Have you considered ordering an official UCC search report from a service company instead of doing it yourself?

The timeline is tight and I was hoping to get preliminary results today. Service company reports usually take a few days.

Fair point, but if you miss an existing lien because of search portal issues, that few days could save you from a much bigger problem later.

Maryland filer here - are you searching both the business name and individual guarantor names separately? Sometimes personal guarantees get filed under individual names even for business loans. Also check if there are any assumed business names or DBAs that might have filings.

Good catch, I was mainly focusing on the business entity name. Let me run searches on the individual guarantors too.

DBA filings can definitely trip you up. Had a deal last year where the UCC was filed under a trade name that wasn't obvious from the loan docs.

Exactly why thorough due diligence takes time. You really need to search every possible name variation.

This might sound obvious but double-check that you're in the right section of their site. Maryland has separate areas for UCC filings vs other business registrations and it's easy to end up in the wrong search module.

Definitely in the UCC section, but good reminder to verify. Their navigation isn't the most intuitive.

Their whole website layout is confusing. Takes me forever to find the right search page every time.

Equipment financing deal means you'll want to pay special attention to collateral descriptions in any existing filings. Even if the debtor names match, the collateral might be different equipment that doesn't conflict with your loan. Maryland allows pretty broad collateral descriptions so you'll need to read the actual UCC-1 forms carefully.

That's a great point about collateral overlap. I was getting worried about any existing filings but you're right that they might not conflict depending on what's covered.

Exactly. 'All equipment' filings are concerning, but specific equipment schedules might not affect your deal at all.

Always read the actual UCC-1 attachments too, not just the summary information in search results.

Try searching with just partial business names or even just the first few letters. Maryland's system sometimes works better with broader searches that you can then narrow down from the results list.

Interesting approach, I'll give that a try. Might catch name variations I hadn't thought of.

Just be prepared for lots of results to sort through if it's a common business name.

Update: I tried Certana.ai after seeing it mentioned earlier and it actually helped me spot some inconsistencies in debtor names between my loan documents and what I was searching for. Turns out I had the business name slightly wrong which explained the search problems. Really streamlined the verification process.

That's exactly the kind of thing I was worried about. Glad you found a solution that worked.

How long did the Certana analysis take? Wondering if it's worth trying for my current deal.

Pretty much instant once you upload the PDFs. Takes longer to gather all the documents than to run the actual analysis.

Final thought - if you're still having issues, call Maryland directly. Their UCC office staff can sometimes do searches over the phone or give you specific guidance on search terms for your situation. Not fast, but potentially more accurate than wrestling with the portal.

Good backup plan. Do you happen to know if they charge for phone searches?

I think there's a fee for official phone searches but they might give you general guidance for free. Worth calling to ask.

Their phone staff has always been helpful in my experience. Much better than trying to figure out the portal quirks on your own.

Maryland's UCC search portal has been problematic for years. One thing that's helped me is clearing browser cache and cookies before searching - sounds basic but their system seems to have session issues that affect search consistency. Also, try searching during off-peak hours (early morning or late evening) when server load is lower. I've noticed more reliable results outside normal business hours. For a $450K deal, you might also want to run searches from multiple devices/browsers to cross-verify your results before finalizing your due diligence.

That's really helpful about the browser cache and off-peak timing - I hadn't considered that server load might be affecting search consistency. Going to try the early morning approach tomorrow and see if I get more reliable results. The multiple device verification is a smart idea too for something this important.
