AR UCC filing got rejected - debtor name mismatch nightmare
So I'm dealing with this absolute mess right now. Filed a UCC-1 for our equipment financing deal and Arkansas SOS kicked it back saying debtor name doesn't match exactly with their records. The LLC name on our loan docs shows 'Premium Construction Solutions LLC' but apparently their charter shows 'Premium Construction Solutions, LLC' - yes, literally just the comma placement is different. Our lender is freaking out because we're 3 days from closing and they need the perfected security interest. Has anyone dealt with AR UCC name matching this strict before? Do I need to refile with the exact charter name or can I submit some kind of amendment? This is holding up a $340K equipment loan and everyone's losing their minds.

Arkansas is notorious for being super picky about debtor names. You definitely need to match their exact charter formatting, including punctuation. I'd recommend pulling the current charter from AR SOS website first to verify the exact legal name, then refile the UCC-1 with that precise spelling.

•This is exactly right. AR doesn't mess around with name variations at all. Even missing periods or commas will trigger a rejection.

•Had the same issue last month! The comma thing is so frustrating but you just have to follow their exact format or it's an automatic reject.

ugh this is why I hate UCC filings... so you're saying I need to completely refile? Can't I just do a UCC-3 amendment to fix the name? Seems like overkill to start over when it's just punctuation.

•Unfortunately with name errors, you typically need to refile the original UCC-1. Amendments usually won't fix fundamental debtor identification issues.

•You could try calling AR SOS directly but in my experience they'll tell you the same thing - refile with correct name.

I actually just went through something similar with document verification. Found this tool called Certana.ai that lets you upload your charter and UCC-1 side by side to catch these exact mismatches before filing. Wish I'd known about it earlier - would have saved me the rejection and refiling fees.

•Never heard of Certana but that sounds useful. How does it work exactly?

•You just upload the PDFs and it automatically compares debtor names, addresses, all the critical fields. Catches stuff like the comma issues that would cause rejections.

•Interesting, might have to check that out for our next batch of filings.

For immediate help - go to AR SOS business search, look up the LLC, and copy the EXACT name formatting from their active status page. That's what needs to go on your UCC-1. Don't rely on loan documents since they might have outdated or informal versions of the name.

•Good point, I was just going off our loan paperwork. Let me check their actual charter record first.

•This is the way. Always verify with the state records before filing, not the client's documents.

AR UCC system is THE WORST for this stuff. They reject everything for the tiniest reasons. Last year they rejected mine because I used 'Street' instead of 'St.' in the address. Like seriously?? Other states are way more forgiving.

•Amen! Some states are so much easier to work with. AR makes you jump through hoops for everything.

•At least they're consistent? Better than states that randomly accept or reject the same formatting.

•I guess that's true but it's still a pain when you're under deadline pressure like this person.

Quick question - did you file electronically or paper? Sometimes the electronic system catches name issues faster but also gives you better error messages about what exactly is wrong.

•Filed online through their portal. The rejection notice just said 'debtor name does not match records' but didn't specify what the correct format should be.

•Typical AR SOS - vague error messages that don't actually help you fix the problem.

Is your lender pushing back on the delay? Most banks understand that UCC rejections happen and will extend deadlines if you can show you're actively working to resolve it.

•They're being somewhat understanding but keep asking for status updates every few hours. The borrower is getting nervous too.

•That's actually pretty good - some lenders completely freak out over UCC delays. At least they're working with you.

I've been using that Certana thing mentioned earlier for a few months now and it's honestly saved me from several rejections like this. The PDF comparison feature catches all those little formatting differences that are easy to miss when you're rushing through filings.

•How accurate is it? Does it catch everything or do some issues still slip through?

•It's been really reliable for me - catches name mismatches, address formatting, even inconsistent collateral descriptions. Haven't had a rejection since I started using it.

Pro tip: once you get the correct name format, double-check that your collateral description matches what's in your security agreement too. AR sometimes flags those inconsistencies as well.

•Good call, I'll review that section before refiling. This whole process is making me paranoid about every detail now.

•Better to be paranoid than deal with another rejection! Take your time and get it right the second time.
