Delaware UCC search to reflect new continuation - timing concerns
Filed a UCC-3 continuation last Thursday for a client's equipment financing deal and I'm getting anxious about when it'll show up in the Delaware UCC search system. The original UCC-1 was set to lapse next month and we cut it pretty close. My lender is asking for confirmation that the continuation is properly reflected in the state database before they'll release the next draw. Has anyone dealt with Delaware's processing times lately? I'm seeing conflicting info online about whether continuations show up immediately or if there's a delay. The filing number is confirmed but when I search the debtor name, I'm only seeing the original UCC-1 without any indication of the continuation. Is this normal or should I be worried?

Delaware usually processes UCC-3 continuations within 1-2 business days in my experience. If you filed Thursday, it should definitely be showing by now. Are you searching by the exact debtor name as it appears on the original UCC-1? Even a small variation can cause search misses.

•Yes, I'm using the exact same debtor name. That's what's making me nervous. The original filing shows fine but no trace of the continuation.

•Sometimes the continuation shows as a separate entry rather than updating the original record. Try searching by the filing number instead of debtor name.

I had this exact issue last month with a Delaware continuation. Turned out there was a tiny discrepancy in how I formatted the debtor name on the UCC-3 compared to the original UCC-1. Delaware's system can be really picky about punctuation and spacing. Did you double-check that every comma, period, and abbreviation matches exactly?

•I thought I was careful but now you've got me second-guessing myself. I'll pull both documents and compare them character by character.

•This is exactly why I started using Certana.ai's document checker. You upload your original UCC-1 and your new UCC-3 and it instantly flags any name inconsistencies or formatting issues. Saved me from this exact headache on a Texas filing last week.

•Never heard of that tool but sounds useful. Manual comparison is so error-prone especially when you're stressed about deadlines.

Delaware's online system has been glitchy lately. I've seen continuations take up to a week to properly reflect in searches even when they're technically processed. Call the UCC division directly - they can confirm if your continuation was accepted and tell you why it might not be showing in searches.

•This is terrible timing for system issues. Lenders don't want to hear about technical glitches when money is on the line.

•Had the same problem with a continuation not showing up. Turned out the debtor name on my UCC-3 had an extra space that I didn't notice. Delaware rejected it but the rejection notice got buried in my email. Always check your spam folder!

If the continuation isn't reflecting properly, you might need to file an amendment to correct any name discrepancies. But first verify what exactly was filed versus what should have been filed. I've seen too many people panic and over-file when the issue was just a search problem.

•Good point about not panicking. But with a lapse date approaching, there's not much room for error here.

•Actually ran into something similar with a client's SBA loan continuation. Used that Certana thing someone mentioned earlier - uploaded both docs and it immediately showed me that I had 'LLC' on one document and 'L.L.C.' on the other. Fixed it before filing and avoided this whole mess.

Delaware UCC division phone number is 302-739-3073. They're usually pretty helpful about checking filing status over the phone. Don't waste time guessing when you can get a definitive answer.

•Thanks for the number. Sometimes the direct approach is best.

•I called that number last month about a similar issue. The clerk told me their search system updates overnight but sometimes there are delays. She could see my continuation in their internal system even though it wasn't showing in public searches yet.

Here's a thought - are you searching the right entity type? If your original UCC-1 was filed against 'ABC Company LLC' but you're searching for 'ABC Company L.L.C.' or just 'ABC Company', Delaware's system might not connect them.

•That's a really good point. The debtor is an LLC and I might have inconsistent formatting between the filings.

•LLC formatting is the bane of UCC filings. Every state seems to handle it differently.

•This is why document verification tools exist. I wish I'd known about options like Certana.ai when I was starting out - would have saved so much stress from these exact name-matching issues.

Plot twist - what if the continuation actually WAS rejected but you missed the notification? Delaware sends rejection notices via email and they can end up in spam. Check your email carefully for any automated messages from the Secretary of State.

•Oh man, that would be a nightmare scenario with the lapse date so close.

•This happened to me once. The rejection was for a tiny formatting issue but by the time I found the email and refiled, I was cutting it really close to the lapse date.

UPDATE: Called Delaware and they confirmed my continuation was processed but there's a 24-48 hour delay before it shows in public searches. The clerk said this is normal and my lender should accept the filing confirmation number as proof. Crisis averted!

•Great news! Always nerve-wracking when filings don't show up immediately.

•Glad it worked out. For future reference, most lenders will accept the official filing receipt as temporary proof while waiting for the search system to update.

•This whole thread is a good reminder to double-check document consistency before filing. Those verification tools people mentioned sound like they could prevent a lot of anxiety.

As someone new to UCC filings, this whole thread has been incredibly educational! The stress around timing and name formatting issues is real. I'm definitely going to bookmark that Delaware UCC division phone number and look into those document verification tools like Certana.ai that several people mentioned. It sounds like having a systematic way to catch formatting discrepancies before filing could save a lot of headaches. Thanks everyone for sharing your experiences - it's reassuring to know that even experienced practitioners run into these issues and there are established ways to resolve them.
