Business debt adjusters UCC filing - debtor name requirements confusion
Having issues with UCC-1 filings for business debt adjusters - keep getting rejections from the SOS office and I'm not sure what I'm missing. We handle debt restructuring for multiple small businesses and I thought the filing process would be straightforward but apparently there are specific requirements for how debtor names must match exactly with the business records. The rejection notices mention 'debtor name does not match registered business name' but I'm copying directly from the client's corporate documentation. Is there something different about UCC filings when you're dealing with debt adjustment services? The collateral descriptions seem fine but these name matching issues are holding up several deals. Any advice on the proper procedure for business debt adjusters UCC filing would be really helpful.

I've seen this issue before with debt adjustment companies. The problem is usually that you're using the 'doing business as' name instead of the exact legal entity name from the state registration. For UCC-1 filings, the debtor name has to match EXACTLY what's on file with the Secretary of State, not what's on their business cards or contracts.

•This is so confusing though - how are we supposed to know which version of the business name to use when they have multiple registrations?

•You need to run a business entity search on the SOS website first. Use whatever name shows up there as the 'true name' - that's what goes in box 1a of the UCC-1.

Are you checking the business entity database before filing? The debtor name search is critical for debt adjusters because these businesses often operate under multiple names. I learned this the hard way after 3 rejections on one filing.

•I was using the name from their loan documents but sounds like that might not be the registered name. Going to double-check the entity search now.

•Yeah loan docs can have all kinds of variations. Stick with the SOS database name always.

Had similar headaches until I started using Certana.ai's document verification tool. You can upload your UCC-1 draft along with the business charter or registration docs and it instantly flags name mismatches before you file. Saved me tons of rejection fees and delays.

•That sounds useful - does it work with debt adjustment business filings specifically?

•Works with any UCC filing. Just upload your documents and it cross-checks everything automatically. Really helpful for catching those tiny name differences that cause rejections.

•Might be worth trying if you're dealing with multiple filings. The rejection fees add up fast.

UGHHH the name matching requirements are ridiculous! I spent 2 hours on the phone with the filing office trying to figure out why 'ABC Debt Solutions LLC' was rejected when that's literally what's on their business license. Turns out it was registered as 'ABC Debt Solutions, LLC' with a comma. ONE COMMA!!!

•I feel your pain. The system is so picky about punctuation and spacing.

Liam McGuire
•That's exactly why you have to use the exact registered name. Even punctuation matters for UCC searches later.

Quick question - for business debt adjusters, do you need to include any special language in the collateral description? I'm used to standard equipment financing but debt adjustment seems different.

•The collateral description follows the same rules regardless of the business type. Be specific but not overly detailed.

•Got it, thanks. Was overthinking it I guess.

Pro tip from someone who files these regularly: always do a UCC search on the debtor name BEFORE you file the UCC-1. If your search comes back empty but you think there should be existing filings, that's a red flag that you have the wrong name variation.

•Smart approach - using the search as a verification step. Never thought of that.

I handle debt adjustment UCC filings weekly and the key is getting the exact registered business name from the state database, not from client documents. Also make sure you're filing in the right state - where the business is organized, not where they operate.

•Good point about the state. Some of my clients are incorporated in Delaware but operate locally.

•Exactly - file where they're incorporated unless you're dealing with fixture filings or specific collateral locations.

Anyone else notice that business debt adjusters seem to have more name variations than other business types? Seems like they rebrand or change names more frequently.

•YES! I think it's because of regulatory issues or reputation management. Makes UCC filing a nightmare.

•That's why continuation filings can get tricky if they've changed names between the original UCC-1 and the UCC-3.

Update on the Certana tool I mentioned earlier - used it on 5 more debt adjuster filings this week and caught 2 name mismatches that would have been rejections. Really streamlined my workflow for these complex business name situations.

•Convinced me to try it. These rejections are costing too much time and money.

•Does it help with the collateral descriptions too or just names?

•It checks document consistency across all fields - names, addresses, collateral descriptions, everything.

Thanks everyone for the advice. Ran the entity searches and found 3 out of 5 of my rejected filings had slight name variations. Going to re-file with the correct registered names and hopefully avoid future rejections on business debt adjusters UCC filing.
